Description We are on the hunt for a General Counsel for our client. As part of our legal department, you will play a pivotal role in managing commercial contracts, mergers, acquisitions, and complex transactions. This role is 5 days/onsite in the East Bay. Responsibilities: • Oversee the process of drafting and reviewing contracts to ensure legal compliance and protect our interests • Handle all legal matters related to commercial contracts and customer contracts • Lead negotiations on contracts and manage existing contracts • Manage legal aspects of mergers & acquisitions (M& A) • Oversee the preparation and review of legal contracts • Manage and resolve complex transactions • Handle legal matters related to lease contracts and service contracts • Ensure all contracts, whether new or existing, are up to date and comply with legal requirements • Provide expert legal advice on contract interpretation and enforcement. Requirements • Candidate should hold a Juris Doctor degree from an accredited law school • Valid license to practice law is required • Strong background in Commercial Contracts is necessary • Experience in Mergers & Acquisitions (M& A) is essential • Familiarity with various types of Contracts, including Customer Contracts, Legal Contracts, Lease Contracts, and Service Contracts is needed • Proven ability to Draft Contracts and review Existing Contracts • Demonstrated skill in negotiating Contracts is crucial • Experience in handling Complex Transactions is a must • Excellent communication skills to articulate legal advice to non-legal team members • Strong strategic thinking and problem-solving skills • Must demonstrate high detail oriented standards and integrity in dealings • Ability to work under pressure and meet tight deadlines • Proven ability to work independently and collaboratively within a team.
