Overview The Head of Corporate Governance & Risk Management Services (CGRMS) is responsible for implementing the ongoing strategies and vision for CGRMS. This position reports to the Chief Executive Officer, Artex Capital Solutions and oversees the day-to-day operations of CGRMS providing the necessary leadership, direction and management. This position reports to the CEO and will work closely with various business heads, and with the Head of Compliance & Risk, Bermuda and the Chief Legal Officer. How you'll make an impact · Responsible for planning, directing and leading all aspects of CGRMS policies, objectives and initiatives. · Lead our team of Corporate Service professionals who are qualified corporate secretaries, in the successful sustainability of the firm’s vision and delivery of Corporate Governance excellence. · Lead our team of Risk Management Consultants in successful delivery of compliance, risk governance frameworks, risk policies, risk management, and regulatory monitoring and gap analysis for our clients. Consulting activities to include, assessing and controlling financial, legal, strategic and other material risks to our client organization’s capital and earnings. · Work closely with the CGRMS Business Development Consultant to build out a successful growth plan for the unit and provide oversight. · Manage the day-to-day operations of the team, such as, meeting the reporting and regulatory requirements of the business. · Review, set and monitor key performance objectives to ensure that staff perform to the highest standard and meet the Corporate Services and Risk Consulting performance expectations, identifying on-going service delivery and process improvements. · Work with the relevant stakeholders on the CGRMS marketing strategy and initiatives to raise the CGRMS profile, while taking a proactive approach to establishing and developing relationships with key clients. · Monitor and keep abreast of relevant legislative and regulatory changes, ensuring that any changes are formalized into a project plan to effectively implement policy/system changes and relevant training within the business. · Monitoring chargeable vs non-chargeable time of team members and working with management and service line leadership to improve profitability. · Responsible for the development and performance of the CGRMS team to include providing annual team training. · Providing guidance on complex requests to members of the team. · Technical mentor to the Team, developing knowledge and practical capabilities and proactively managing and promoting the development of team knowledge and the development of key skills. · Identifying the training needs of the staff and delivering or facilitating delivery of required training, with emphasis on risk management, corporate governance, and relevant regulatory updates. · Providing team leadership and promoting an atmosphere of cooperation, teamwork, and support. · Leading and managing key client relationships and ensuring exemplary client service standards are met. · Leading and managing departmental initiatives and projects work alongside Risk & Compliance functions to oversee management of business risks and adherence to the professional standards policy and risk governance framework, promoting risk awareness within the business and fostering a culture of compliance. · Managing monthly reporting in relation to billing, accounts receivables. · Working closely with the CEO to identify areas of revenue growth and product expansion including M&A. Financial Oversight: · Prepare and manage the division’s budget, ensuring cost-effective operations. · Track and report on key performance indicators (KPIs) to senior leadership. · Identify opportunities for revenue growth organically and through M&A. · Overall responsibility for division billing and Finance matters. About you · University degree and relevant experience coupled with a professional qualification from ICSA. · Minimum of 7 years relevant and demonstrable experience in a similar role including, management of a team and change management experience. · Strong ability to empower, lead and motivate a professional team. Demonstrated ability to think strategically and determine impact of decisions on the company. · Strong inter-personal skills with proven ability to lead and promote a team environment. · A working knowledge of the Corporate Services Providers Act (CSP) 2012 and related Codes and Policies, Fund Administration Provider Business (“FAPB”) Act 2019, Insurance Manager Code of Conduct, Operational Cyber Risk Management Code of Conduct, Proceeds of Crime Act 2008, International Sanctions Regulations 2013 and other legislation as it relates to the regulation of Bermuda entities, as well as company secretarial practices. Ensure compliance with the same, including effective control management and appropriate governance oversight within your remit. · Collaborate with management and Risk and Compliance to escalate observed concerns or report matters that indicate a client is or is likely to be out of compliance. Where necessary, uphold utmost confidentiality of matters under investigation or instances where a report has been filed for suspicious activity. · Excellent verbal and written communication and presentation skills. · Strong organizational, analytical and decision-making skills and proven ability to multi-task and manage time effectively. · Willingness to work a flexible schedule.
