Description:

As an Intern, focussing on insurance for Mergers & Acquisitions (M&A), you will form part of a dynamic and multicultural team of professionals based in our Barcelona office that focus on developing our global M&A Insurance business. You will directly report to our insurance M&A Senior Underwriters and after an initial in-house training you will be fully immersed in the dynamics of risk assessment in the context of Corporate M&A activity.

This is a perfect opportunity for candidates interested in exploring their appetite in the international M&A arena and in experiencing at first-hand the M&A negotiations’ dynamics for transactions of all sizes (from US$ 10M to more than 1Bn) and across a wide range of jurisdictions worldwide (UK, Continental Europe, Asia/Pacific and South Africa) while working in an international environment.

Responsibilities:

Review of M&A- related documentation: Due Diligence Reports (Legal, Financial/Tax and others), Data Rooms, Information Memorandums, etc.

Analysis of a wide range of Sale Agreements (Share Sale Agreements, Assets Sale Agreements, Unit Sale Agreements, Subscription Agreements, etc.) in relation to M&A operations worldwide.

Form an opinion of the legal and financial risks attached to a particular M&A deal and present it to the relevant Senior Underwriter, together with a proposal of how to address and price the risks identified.

Potentially participate in underwriting calls where you will have the opportunity to learn from Senior Underwriters how to obtain better insights with regards to risks identified during an M&A review process and how these are assessed and quantified

Requirements:

Currently studying Bachelor (3rd – 5th year) or Master in Law. Business Administration, Economics or similar a plus.Fluent in English (high level) a must. Additional languages a plus.
