Contributes to the overall success of the Legal Department/Corporate Secretarial/Global Asset Management in Canada ensuring specific individual goals, plans, initiatives are executed / delivered in support of the team’s business strategies and objectives. Ensures all activities conducted are in compliance with governing regulations, internal policies and procedures.

Corporate Secretarial
Provide corporate secretarial support to the Boards of securities regulated subsidiaries and independent review committee(s), including responsibility for scheduling, organizing and attending meetings, the preparation of required documentation, undertaking post meeting activities and ensuring all corporate law filings are made
Ensure that the corporate minute books, records and database reflect the decisions of the Board, are complete, accurate and maintained, ensuring compliance with governing legislation and regulatory requirements
Coordinate minute book reviews for internal and external auditors and regulatory bodies, maintaining secure custody of corporate information
Drafting resolutions for routine corporate and securities matters
Act as back-up for the Senior Manager, Legal Services in respect of Corporate Secretarial duties
Corporate Securities
Attend to monthly TSX and Cboe ETFs filings including pre-clearance with IIROC Market Surveillance.
Attend to all SEDAR+ filings for the Tangerine Funds and act as back-up for the Corporate Securities Clerk.
Primary responsibility for the semi-annual updates to two funds offered pursuant to an offering memorandum.
Provide support to the Portfolio Administration team with brokerage account openings, foreign registrations and list of authorized individuals.
Prepare annual capital gains and dividend resolutions and monthly reduction in capital resolutions based on instructions from the Tax team.
Prepare documents for internal and external audit reviews based on instructions from the Tax team or the Internal Audit team.
Do you have the skills that will enable you to succeed in this role? - We'd love to work with you if you have:
Paralegal, Law Clerk Designation preferred
Exceptional computer skills, including proficiency with MS Office (Sharepoint, Word, Excel, Access and Powerpoint)
Investment funds and securities knowledge would be an asset
Good understanding of one or more Canadian jurisdictions
Ability to draft legal documents and resolutions
Ability to understand, interpret and simplify legal terminology
Exceptional communication (written & oral) and organizational skills, as well as ability to multi-task
Self-motivated and able to work with only moderate direction
Team player with ability to work independently as required
Some more information you might want to know:
The position requires a law clerk certificate or a paralegal designation and a good knowledge of regulatory requirements associated with the CBCA, OBCA, OSC, IIROC, TSX and Cboe. Proficiency with entity management databases also required – experience with EnGlobe and Diligent Boardbooks is an asset.
The incumbent is expected to work autonomously and be capable of dealing directly with Executive management, directors, regulators, auditors and other Bank departments as necessary.
In addition to receiving direction from the Senior Manager, Legal Services, the incumbent works closely with Senior Legal Counsel, Corporate Governance Officer to manage issues related to the subsidiaries. The incumbent is expected to ensure adherence to regulations, policies and procedures and must anticipate and prepare for compliance and support issues and escalate and manage issues as required.
Due to regulatory scrutiny, the risk associated with errors can be serious, potentially resulting in fines/penalties, investigations by local regulatory bodies and damage to reputation.
