Job Description:

Crowe Horwath IT Services LLP (\"Crowe\") is seeking a candidate to support and assist the Commercial Transactions team within Crowe LLP’s Legal Department, the US-based parent of Crowe. The candidate would be required to work on contracting in a transaction-focused role while also assisting with data privacy, and, occasionally, general corporate matters. The main role of the candidate would be to review and revise professional services and technology-related agreements. Candidate will report to attorneys based in the United States of America. Candidate’s duties and responsibilities may expand on the basis of their understanding of Crowe’s business and the ability to manage business risk.

Role and Responsibilities:
• Review client and vendor contracts, terms and conditions of the Agreements, as well as requests for proposal documents (“RFPs”).
• To identify issues and areas of risks, propose modifications to the contracts.
• Develop a detailed understanding of Crowe’s professional service lines and technology products and risks associated with it for reviewing and revising contracts, terms and conditions of the Agreements and the RFPs.
• Draft professional services and technology-related agreements, including master services agreements, engagement letters, confidentiality agreements, business associate agreements, SaaS agreements, data protection agreements, software licenses, subcontractor agreements, as well as related statements of work.
• Understand and apply professional standards that are relevant to specific service lines, including standards that apply to US audit and tax services.
• Learn and apply international laws and regulations related to privacy and data protection, and artificial intelligence, as well as information security requirements in the review and edit of client and vendor contracts, terms and conditions, etc.
• Identify apparent and hidden risks associated with the task presented and collaborate/ discuss with reporting managers to manage the risk.
• Identify and advice on possible risk mitigation measures that may be adopted for the benefit of Crowe and the clients.

This position will assist with managing Crowe LLP’s contractual risk and learn general practices in a wide variety of areas. Successful candidates must also commit to learning Crowe LLP’s multiple business lines and products at a detailed level.

Education Qualification:
• LL.B. degree and qualification as a registered lawyer in India.

Key Qualifications:
• Candidate must have at least seven (7) years of relevant experience in working with a reputed law firm, government agency, or in-house legal department in the risk management and contract reviewing and drafting role, working in a high-volume, dynamic, and diverse environment with rapidly shifting priorities, focused on risk management and successful deal-making.
• Candidate will be required to take initiative to manage large volume of requests, and candidates will need the ability to multi-task, manage substantial workloads with changing priorities, be focused on quality of work delivery, client-centric, and be team oriented.
• Candidate must be well organized and able to meet deadlines, while possessing sound business judgment, discretion, flexibility, a willingness to learn, and superior writing and verbal communication skills.
• Candidate must have strong contract drafting and negotiation skills.
• Candidate must have the enthusiasm for learning new technology, including our contract management system, and strong knowledge of Microsoft Office is required.
• Candidates with additional experience in reviewing state or federal government contracts, working on governmental, accounting, or financial regulatory sectors, advising on international laws and regulations related to privacy and data protection, and on a range of intellectual property matters as they relate to marketing, trade secrets, licensing, patents, and copyright will be preferred.
• The selected candidate will report to the Associate General Counsel or Assistant General Counsel based on the United States of America.
