This role provides corporate legal assistant/paralegal support primarily to ADM’s corporate functions, legal entity management and common stock/equity plan records. Under the supervision of the Associate General Counsel, Corporate, Securities and M&A, the Legal Assistant / Paralegal will:
Day-to-Day Duties:Assist with the organization and maintenance of corporate minute books, records, and files and maintenance of the Company’s subsidiary management database, including adding new users, review and removing users as needed.Assist with documenting director and officer (or equivalent) changes for U.S. and International subsidiaries and assist with preparation and filing of changes with commercial register.Assist with drafting and filing of corporate formations, qualifications, dba/name registrations, amendments, withdrawals, mergers and dissolutions.Drafting resolutions, written consents, secretary/officer certificates, affidavits, incumbencies, and powers of attorney and similar corporate documentation.Assist with internal subsidiary restructurings (including review and proper execution of related agreements, resolutions and certifications) for U.S. and International subsidiaries.Assist with managing outside vendor relationships related to legal entity management and state filing/reporting including reviewing, entering and approving invoices.Respond to requests for information and documentation from internal and external stakeholders regarding the company group legal entities, including running reports and generating legal entity organizational charts, affiliate ownership confirmations, and know-your-customer (KYC) or ultimate beneficial owner (UBO) requests.Supporting and coordinating signature gathering (wet ink and electronic/DocuSign), notarization and apostille/legalization for corporate documentation and for corporate transactions and agreements.Coordinate with non-US legal departments for updates to corporate minute books and legal entity management systems and required documentation.Provide support for mergers, acquisitions, and divestitures (including due diligence of entities’ corporate histories and timely and proper execution of deal documents).Assist with annual/semi-annual reviews of corporate organizational chartsAssist with corporate record keeping related to ADM common stock matters.Assist with the preparation of forms relative to U.S. Securities and Exchange Commission (SEC) required Section 16 filings for officer/director activity (SEC Form 3, 4, and 5 as needed).Other general corporate legal assistant/paralegal tasks.Required Skills/Experience:3-6+ years of office administration experience; legal experience preferred; legal assistant or paralegal experience strongly preferredProficiency with Microsoft Suite; ability to learn other software programs quicklyStrong communication, organizational, and critical thinking skillsSuperb attention to detailAbility to multi-task and prioritize work to meet applicable deadlinesAbility to exercise discretion and maintain confidentiality of sensitive informationSelf-motivated; ability to work both (i) independently to complete tasks and respond to department requests and (ii) with others to leverage their resourcesEducation Requirements:High school/GEDBachelor’s degree, preferredExcited about this role but don’t meet every requirement listed?
