Essential Duties and Responsibilities:
Primarily be involved in complex business transactions including, but not limited to, negotiating, and closing critical and complex enterprise software/SaaS contracts, licensing agreements, consulting agreements, channel partner agreements, reseller agreements, distribution agreements, referral agreements, marketing agreements, procurement agreements, and other general business contracts. The Legal Counsel will bring their experience to support and assist the NORAM Sales and Channel Sales team.Advise the company on regulatory compliance, privacy laws, and corporate governance.Assist business units in resolving legal matters, including contract interpretations and third-party disputes.Investigate and respond to regulatory requests with assistance of outside counsel, as needed.Draft, negotiate, and review contracts.Implement legal operating standards and keep current on best practices and regulations.Provide general legal advice.Education, Experience and Skills:
Juris Doctor degree.Member of a state bar of the United States.Experience working for SaaS companies.Five to seven years in-house counsel experience in drafting and reviewing contracts, and licensing agreements.Strong understanding of the issues surrounding the protection of confidential information and/or intellectual property and data privacy laws.Familiarity with standard contract terms and issues common to contracts for SaaS services.Ability to identify and analyze legal issues in a fast-paced and rapidly changing business environment.Independence, with outstanding analytical, communication and interpersonal skills.Excellent presentation skills.Strong sense of urgency and high level of responsiveness to competing, demanding deadlines.Working knowledge of Microsoft Word, Excel, PowerPoint, and Outlook.Excellent time management skills as multiple clients and projects will be managed simultaneously.Capability to work with teams in multiple countries, across time zones.Travel up to 10% of time.Base compensation for this role is: $163,100.00 - $206,375.00 annual salary. In addition to the base pay this position includes a variable compensation. The role might also be potentially eligible to long term Incentive.
