Your Impact

As Legal Counsel, you’ll be a key player in supporting OpenText’s Partner and OEM business. Your role will focus on drafting and negotiating agreements, providing strategic legal guidance, and collaborating across teams to achieve commercial objectives. The OpenText Legal Business Services Team is the largest division within the OpenText Legal Department, and its mission is to be a business enabler, trusted business partner and valued expert within all of OpenText .  We are seeking a high-performing, self-directed Legal Counsel to join our Partner Legal team. This is an exceptional opportunity to learn the partner and OEM business of a large enterprise information software and cloud company and meaningfully impact the company’s growth.  It is an exciting time to join our team as we, among other things, look to consolidate the OpenText Partner Network and grow our business with SAP. 

 

The successful candidate will be energized by working in an evolving organization and capable of connecting business strategy to legal work.  Reporting directly to and working closely with, the Sr. Director, General Counsel, Partner & OEM business, you will also be part of a global yet close-knit Legal team.  This role will have both a US and a global focus, and so you must be willing and able to work independently and communicate virtually with team members. 

 

You the role offers

 

Work cross-functionally with different departments to close deals and achieve the partner and OEM teams’ commercial objectivesDraft, review and negotiate a variety of agreements, including partner, reseller and distribution, OEM, SaaS subscription, license, master and professional services, and privacy related agreementsDrive the legal team’s strategic initiatives, including development and implementation of processes that improve time-to-contract without material increases in riskProvide practical guidance to the Partner, OEM, Engineering and other teams that balances business objectives and legal riskKeep abreast of changing regulations, laws, and industry standards

 

What you need to succeed

 

Approx. 4-6 years’ experience in commercial contracting, preferably in an in-house settingExperience with partner (reseller, technology partnerships, distribution agreements) and OEM agreements preferredExperience with SaaS subscription agreements, software licenses, master and professional services agreements and data processing agreements Experience of anti-trust, anti-corruption and data privacy laws preferredA track record of good judgment and decision-making in a legal role with meaningful responsibility Membership in good standing with at least one state barAbility to work autonomously and independently drive high value projects to completion Communication skills to effectively interface with non-legal colleagues as well as external partners and customers Sound business judgment and the ability to appropriately balance business objectives and legal riskFlexibility to adapt and thrive in a new business unit within a dynamic, global corporation
