Position Purpose:
This position provides professional legal support by assisting supervising attorneys with a wide range of tasks related to corporate legal matters. These tasks include subsidiary management, drafting of corporate resolutions and consents, as well as secretary’s and incumbency certificates, support of corporate structuring and financing transactions, review of certain filings with the Securities and Exchange Commission (SEC) for form compliance and support related to the SEC filing process, and research on corporate law matters.
Key Responsibilities:
18% Conduct legal research/research business problems and provide recommendations as to course of action; respond to clients legal inquiry under the supervision of counsel; review legal documents (e.g., deeds, contracts, subpoenas) to identify key issues18% Under supervision, draft business/legal communications typically using template forms (e.g., contracts, discovery, regulatory filings, cease/desist letters)18% General file/database management - maintain complete and accurate electronic and paper files for all assigned matters18% Gather relevant documents for contract negotiation/drafting, litigation responses, regulatory filings18% Negotiate settlement of smaller matters (e.g., small-claims litigation, low regulatory fines) or negotiate smaller contracts/amendments/statements of work10% Other tasks as assigned by supervisorDirect Manager/Direct Reports: Position reports to Attorney, Sr. Attorney, Counsel or Sr. Counsel. No direct reports
Travel Requirements: Typically requires overnight travel less than 10% of the time.
Physical Requirements: Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles.
Working Conditions: Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable.
