This is a contract position; however, it is not uncommon for assignments to transition into permanent positions with our client companies. Applicant must be eligible to work in the US for immediate opening. For this opportunity, the successful candidate will be directly employed by Bartech Staffing as a W2 employee while providing services to our end client.
M&A/Finance Paralegal/Contracts Administrator
Job Responsibilities
Your specific duties as a M&A/Finance Paralegal/Contracts Administrator will include:
Assist attorneys in M&A and large financing transactions (revolving credit facilities and debt offerings), including managing the diligence process, data room management and preparing and organizing deal documents. Support corporate governance and securities matters, including Delaware corporate law compliance, Securities and Exchange Act regulations and listing standards/exchange rules. Assist in all aspects of company reporting and filings required by the Exchange Act (Forms 8-K, 10-Q and 10-K and Section 16 filings). Support broader corporate governance and secretary function, such as preparation of materials related to Board and committee meetings and drafting unanimous written consents and resolutions of directors and/or shareholders for companies and its subsidiaries. Assist with the administration of an insider trading program. Manage and maintain all company subsidiaries (US and Global, utilizing external support as needed. Coordinate the timely and accurate retrieval of corporate data in compliance with special requests, due diligence, and requests for production; and Perform other related duties and projects as required, including providing paralegal support to the broader Legal group as needed.M&A/Finance Paralegal/Contracts Administrator
Job Requirements
As a M&A/Finance Paralegal/Contracts Administrator, you must represent our company well by being responsible, punctual, and motivated to go above and beyond the call of duty. You must also be highly detail-oriented and organized with excellent analytic and problem-solving abilities. It is also important that you display excellent verbal and written communication and interpersonal skills.
Bachelor’s degree or paralegal certificate required. '33 and '34 Act public company reporting experience required. 5+ years of relevant experience with a public company and/or law firm strongly preferred. Excellent communication, organization, and collaboration skills. Superior attention to detail. Ability to coordinate multiple, complex tasks with multiple stakeholders. Computer proficiency required (MS Word, Excel, and PowerPoint). Experience with Workiva (WDesk) and electronic board portals a plus.M&A/Finance Paralegal/Contracts Administrator
