M&A Sourcing & Execution Manager
This role is hybrid (3) days a week in Chicago Responsible for the management of M&A transactions sourcing activity including through the development of proprietary relationships with founders, private equity firms, investment banking firms and various other avenues. Responsible for full deal pipeline management for UL Solutions across the entire enterprise. In addition to transaction sourcing, the role covers M&A execution including valuation, due diligence, analysis, deal structuring, and execution presentation. Substantial work, collaboration and presentation interaction with UL senior leadership team, including Customer Operation Unit, Segment and Corporate Function leaders. + Works with business leaders in the identification of acquisition targets through the analysis of customers, products, markets, geographies, issues, and competitors. Ensures acquisition opportunities are aligned to corporate strategic objectives. + Manages the deal sourcing pipeline for UL Solutions at the corporate level across businesses. + Develops clear outreach strategies for targets of various size, including leveraging internal and external relationships. + Conducts outreach and develops relationships with selected targets and uses business leadership to position UL Solutions appropriately as a favored acquirer. + Delivers on appropriate KPIs set for acquisition sourcing. + Assist in the management of the due diligence process for select transactions including coordinating activities across multiple workstreams and integrating the findings from Legal, Finance, Accounting, Tax, Human Resources and Operations into final analysis and deal evaluation. + Manages the development of financial projections for select acquisition targets. Performs discounted cash flow analysis to determine valuations. Capable of performing other valuation/returns analysis including (i) comparable company and precedent transaction analysis, (ii) accretion/dilution analysis and (iii) return on invested capital. + Develops evaluation criteria to analyze the costs and synergies of potential acquisition opportunities. + Assist in the preparation of presentations that support the approval of acquisitions by the UL Solutions executive leadership team and the Board of Directors. + Reads and follows the UL Solutions Code of Conduct and follows all physical and digital security practices. + Performs other duties as directed. We also provide employees with paid time off including vacation, holiday, sick and volunteer time off. + Bachelor's degree in finance, Accounting, Economics or Business Administration plus a minimum of (6) years professional level experience in corporate development, investment banking, private equity or a mergers and acquisitions function in a corporate environment. + Advanced degree and/or CPA + Global M&A experience a plus + Strong business development skills and background in M&A deal sourcing. + Ability to interpret financial statements and analyze historical performance for possible M&A opportunities. + Ability to independently develop financial projections for Income Statements, Balance Sheets and Cash Flow Statements. + Ability to analyze and interpret a wide variety of materials including financial reports, technical reports and legal documents.
