Summary: The Corporate Finance Manager conducts and reviews competitive financial analyses, research and statistical studies. Analyzes competitor data and prepares reports for senior management. Prepares and reviews complex financial models using appropriate software application packages for internal and external use. Evaluates short- and long-term capital structure needs and assists in maintaining bank relationships. Supervises a Financial Analyst and oversees their related responsibilities. Primary Duties and Responsibilities: The Corporate Finance Manager prepares and reviews five-year financial models (income statement, balance sheet, statement of cash flows). Prepares and reviews modeling impact of acquisition targets and new organic growth opportunities on five-year financial model. The Corporate Finance Manager prepares presentations to senior management and the Board of Directors based upon financial model. Evaluates short- and long-term capital structure needs based on current and expected market conditions such as interest rate environments and access to capital. The Corporate Finance Manager prepares debt compliance certificates ensuring that the company abides by the terms of its debt agreements. Handles due diligence of acquisition candidates, including but not limited to assisting with negotiations of relevant deal agreements as well as consulting external agencies concerning legal, financial and accounting issues associated with M&A activity. The Corporate Finance Manager analyzes and reports on historical and future trends in financial performance, investment return and asset depreciation. May involve analysis of accounting implications, Return on Investment (ROI), lease vs. buy, resource allocations, valuation and statistical studies (NPV and IRR). Coordinates the preparation of the quarterly board package and support for the press release and conference call script including the maintenance of supporting document files and the tie out of final documents. The Corporate Finance Manager supervises the Financial Analyst and oversees their related day to day responsibilities. Performs other duties as assigned. Qualifications Bachelor’s degree in Accounting, Finance, or Business Administration required. Master’s degree in related field preferred. Three to five (3-5) years financial experience. Financial experience in Capital Markets and Mergers & Acquisitions is highly desirable. Strong analytical skills. Familiarity with standard financial concepts, practices and procedures as demonstrated through relevant work and educational experience. Must have exceptional skills in utilizing appropriate software applications to conduct financial analyses. Must be able to communicate financial analyses, along with findings, through verbal and written communication. Must be able to work independently, while meeting internal schedules and deadlines.
