As an M&A Manager, you will lead the planning and execution of mergers, acquisitions, divestitures, and other strategic transactions. You will oversee deal evaluation, financial modeling, due diligence, and integration planning, working closely with senior leadership to identify and execute growth strategies. Additionally, you will train, manage, and evaluate junior M&A team members and promote a cohesive team culture. *KEY RESPONSIBILITIES:* * Deal Sourcing & Evaluation: Identify and evaluate potential acquisition targets or strategic divestitures. Develop investment theses, perform initial assessments, and present recommendations to senior leadership. * Financial Modeling & Valuation: Lead the creation and review of complex financial models, including Discounted Cash Flow (DCF), Leveraged Buyout (LBO), and merger models to assess potential transactions. Ensure accuracy and alignment with strategic objectives. * Due Diligence Management: Oversee the due diligence process by coordinating internal teams and external advisors, conducting thorough analyses of financial, operational, legal, and regulatory aspects to identify risks and opportunities. * Strategic Analysis & Market Assessment: Conduct market research and strategic analysis to support M&A activities, including competitor analysis, industry trend evaluations, and risk assessment. * Transaction Negotiation: Work with senior executives to structure and negotiate deal terms, including pricing, earn-outs, indemnities, and other contractual provisions. Support discussions and negotiations with target companies and advisors and with potential acquirers or partners of carved-out Crowley assets. * Integration Planning: Collaborate with cross-functional teams to develop integration plans and ensure smooth post-transaction transitions. Identify key risks, synergies, and opportunities for value creation. * Team Leadership & Mentorship: Manage and mentor a team of analysts and associates, providing guidance on financial analysis, modeling, and best practices. Foster a collaborative and high-performing team culture. * Quality Control: Review all analyses, presentations, and reports generated by junior team members to ensure accuracy and professionalism of all documentation being shared with internal and external stakeholders. *EDUCATION:*Bachelor’s degree in finance, Accounting, Economics, Business Administration, or a related field. MBA, CFA, or CPA are preferred. *QUALIFICATIONS:* * Experience: 4 years of relevant experience in M&A, investment banking, corporate development, or private equity. * Demonstrated track record of leading and executing transactions. *Skills: * * Advanced proficiency in financial modeling and valuation techniques. Strong knowledge of M&A processes, deal structures, and negotiation strategies. Proficiency with financial databases and tools (e.g., Pitchbook, Capital IQ). * Attributes: Excellent analytical and problem-solving skills, attention to detail, and ability to communicate effectively with stakeholders at all levels.
