Compensation Range $170,000 - $190,000 / Year Position Overview: Eligible for a hybrid work schedule split between home & office. The Manager of Stock Plan Administration and Executive Compensation is responsible for the analysis and administration of executive compensation programs, including base salary structures, short-term incentives (STI), long-term incentives (LTI), and equity grants. This role also administers the company’s stock plans, ensuring compliance with SEC regulations, proxy disclosures, and alignment with shareholder interests. The ideal candidate will bring expertise in equity compensation structures, compliance, and stakeholder management while supporting corporate goals and governance policies. Here’s more of what you’ll get to do: Stock Plan Administration & Equity Management: Lead the administration of all equity-based compensation programs, including stock options, RSAs, and performance-based equity awards. Ensure compliance with SEC, IRS, and SOX regulations related to stock plan administration, including 10-K and proxy disclosures. Manage and optimize stock administration systems and platforms, such as Schwab, Fidelity, or Computershare. Oversee all equity transactions, ensuring accuracy in grants, vesting, exercises, expirations, and terminations. Serve as the primary liaison with external vendors, including stock plan administrators, transfer agents, and legal advisors. Develop strategies for improving stock plan efficiency, employee education, and equity utilization. Executive Compensation Management: Analyze, and administer executive compensation programs, including benchmarking, salary structures, and incentive plans. Conduct market research and competitive benchmarking to ensure executive pay remains competitive and aligned with company strategy. Support the preparation of Compensation Committee materials, including recommendations, analysis, and presentations. Assist with the development of the annual proxy statement, including executive compensation disclosures (CD&A, summary compensation tables, and equity plan proposals). Compliance & Reporting: Ensure compliance with all regulatory requirements, including SEC filings (Section 16 reporting, Form 4s, and 10-K disclosures). Assist in drafting materials for annual shareholder meetings related to executive compensation and stock plan proposals. Support the development of pay-for-performance analyses and modeling. Monitor and implement best practices in executive compensation, governance, and shareholder engagement. Cross-Functional Collaboration: Work closely with HR, Finance, and Legal teams to align executive compensation with corporate goals. What we require: Bachelor’s degree in Human Resources, Finance, Business, or a related field. 5+ years of experience in stock plan administration and executive compensation within a publicly traded company. Deep understanding of equity compensation structures, including RSUs, RSAs, stock options, and performance-based equity. Strong knowledge of SEC regulations, proxy disclosures, and executive pay governance. Proficiency in equity administration platforms (e.g., Schwab, Fidelity, Computershare) and HRIS systems. Excellent analytical, communication, and stakeholder management skills. Ability to handle confidential information with discretion and integrity. What We Prefer: MBA or Master’s degree in Finance, Human Resources, or a related field. Experience working with executive compensation programs in a Fortune 500 company. Familiarity with global compensation structures and regulatory requirements. Strong project management skills and experience leading cross-functional initiatives.
