About the Team
This critical role will be in the Global Business Development and M&A organization at ADM. You will have the opportunity to be a key influencer within the organization to help grow and drive positive results. This position will report directly to the Director of Global Business Development.

CPA is also helpful.At least 3-5 years of proven experience in mergers and acquisitions, including both domestic and international transactions, ideally within a corporate environment.Strong strategic and analytical thinking.Exceptional financial analysis and modeling skills.Demonstrated success in navigating complex M&A structures. This includes analysis of financial implications to the organization.Excellent project management skills with a history of involvement in successful post-close integrations.Strong collaboration and stakeholder management skills.Experience with opening balance sheet (ASC 805) valuations is desirable. This includes a comprehensive understanding of valuation techniques, standards, and significant inputs impacting the results.Key Responsibilities:Analyze M&À deal models for reasonableness and accuracy. This includes: Assessing the quality and sustainability of the Target company’s reported earnings and achievability of the forecast (adjusted earnings). This also includes assessing the Target’s balance sheet and impact on the model (i.e. debt-like items, leases, commitments, contingencies, etc).Benchmark projected results against industry smart intelligence and other internal/external resources.Review cost and revenue synergies and assess reasonableness.Analyze company data and calculations included in the model for working capital considerations, and potential liabilities and risks impacting valuation.Analyze and assess the reasonable of capital expenditure requirements against projected costs and returns.Determine whether all accounting implications are properly reflected. This includes the impact of purchase price accounting adjustments and impact on post-close earnings (mainly step-up in depreciation and/or amortization).Analyze the financial impact for JV’s, minority interests, and other alternative transaction structures to the organization. This includes assessing VIE considerations (consolidated vs non-consolidated) and resulting impact on ROIC and EVÀ.Consistent with M&A, analyze Capex models for reasonableness and accuracy. This includes:Assess the reasonableness of cost estimates and projected returns.Benchmark projected returns against prior and/or related Capex projects, industry trends, and related external resources.Determine whether all accounting implications are properly reflected. This includes analysis of depreciation and amortization, lease accounting (if applicable), and related areas.Assess working capital requirements and implications on the forecasted results.Support the financial and business development work streams on M&A transactions. This includes:Deal scopingCollaboration with internal and external stakeholdersDue diligenceSPA negotiationPre-close needs and requirementsHelp facilitate post-close integration plans and serve as a valuable business development resource to the management team throughout the integration process. Oversee post-close valuations and collaborate with the controlling teams to ensure opening balance sheet adjustments are appropriate. This includes oversight of all engagements with our external valuation firms.Help ensure our end-to-end M&A and Capex processes are optimized across the organization.Collaborate with our core business development team on process improvements related to pre and post mortem review on acquisitions, Capex, and related M&A activity.Review the organization’s current M&A and Capex processes and propose enhancements driving meaningful change.
