Manager Financial Due Diligence - Transactions Services

The opportunity

 

EY Strategy and Transactions provides services within the domain of mergers and acquisitions, private and public offerings, valuations, business modeling, due diligence and financial consulting. Through our independent position with respect to lenders, investors, and investment bankers, our team of professionals is ideally placed to successfully support corporate transactions.

 

The Transaction Diligence team aims to assist clients, both private equity firms and corporate clients, throughout the whole transaction process. Whilst traditional financial due diligence is a key element of the service, transaction support is much broader, incorporating assistance with business plan assessment, including support to the transaction management, negotiation and documentation, and post-completion integration.

 

As a Manager you will participate in due diligence engagements related to transactions involving private equity and strategic corporate investors. You'll analyze the financial and operational results of target companies by reviewing accounting records and participating in or leading interviews with management. Drawing on your experience, you'll assist in managing engagement economics by organizing staffing, communicating issues to project leaders, perform and review the work of other team members and generally ensuring compliance with our Quality & Risk Management (Q&RM) procedures.

 

You'll also participate in business development initiatives. As an influential member of the team, you'll help create a positive learning culture and will coach and counsel junior team members and support their development.

 

Responsibilities: 

Perform research, interviews, data collection and analyses of financial historical and forecasted information to understand trends, key business drivers, working capital, net debt and cash-flows and their implications on the transaction value. Assist in researching technical accounting issues to evaluate implications on transaction valuation and structuring. Assist in preparing analysis and reports to be delivered to clients. Liaise with other advisors e.g. tax specialists, lawyers, investment bankers and other advisors on the transaction. Supervise and guide a team to perform detailed analysis on financial information to identify deal breakers and price adjustment items. Delegate effectively to team members. Provide the necessary support for business development activities and prepare proposals for potential clients.

 

Requirements: 

Familiar with local and international generally accepted accounting practice. 7-8 years of experience in financial due diligence or audit Proficient in Microsoft Office Ability to assist with proposals and other business development efforts Fluent in English A data analyst mindset and ability to apply data analysis tools is a plus ACCA qualified or in progress is a plus
