We are looking for a Manager to join our expanding Sale & Purchase Agreement Advisory (SPA) team that sits in and works collaboratively with our Oceania Transaction Diligence practice. 

 

The SPA team has in-depth expertise from working with clients on more than 400 deals, creating contractual solutions to financial and commercial issues at the time when they can be converted into real value during deal negotiations, and is one of only a few such specialist teams in Australasia.

 

As part of our SPA team you will work with many of the world’s largest organisations, fastest-growing companies and private equity firms on some of the most complex deals in both the Oceania and global market, across a broad variety of industries.  

 

Together we will assist clients navigating the transaction process by providing value-adding SPA support, financial insight and analysis during the process leading up to the determination of the final purchase price for their deals, working alongside investment banks, M&A teams, lawyers, tax advisors and due diligence teams to ensure money is not left on the table during the process. 

 

On a typical day, you will

 

Manage and participate in SPA advisory engagement execution for the acquisition or disposal of businesses (targets) by private equity investors, funds or strategic corporate clients. Working closely with clients, their bankers and legal advisers, transaction diligence teams. This may include analysis of cash, debt and working capital adjustments, preparation of pricing schedules, reviewing, and commenting on the financial aspects of the SPA, assisting the client with their preparation or review of Completion Accounts, and performing Leakage reviews. Advise clients on the advantages, risks and options as to the most suitable purchase price mechanism for their transactions, together with providing insightful, deal relevant points of view and recommendations to the client by leveraging your technical and commercial experience. Analyse financial results of targets through reviewing diligence findings, financial analysis and conducting interviews with target management. Supporting negotiations with clients throughout the transaction, agreeing detailed and compelling outputs. Building valued relationships with internal contacts and external clients to develop and expand your own portfolio of projects, focusing on high value opportunities. Collaborate with other EY service teams to deliver an integrated approach to our clients.

Experience in a Transaction Diligence role, or mergers and acquisitions environment, working with senior stakeholders on multiple engagements Ability to quickly develop, build and manage relationships to work closely with multiple clients and teams, both external and internal. A bachelor or master degree in accounting, business, finance or economics.  Member of the Institute of Chartered Accountants, CAANZ or international equivalent. At least 5 years' experience in a role within a professional services or chartered accounting environment or in a financial performance and analysis or mergers & acquisitions role at a corporate organisation. A keen interest in understanding businesses, transactions and deal value drivers. Passion for client service excellence and attention to detail and ability to grasp complex issues and explain them clearly to non-accountants.
