Job Overview

To provide administrative and paralegal  support for Legal Department and - for the General Counsel and other members of the Legal Department, along with providing International Corporate and KMC Corporate support as needed. 
 

Key Job Responsibilities

•    Provide corporate governance support for all global entities, such as required corporate governance filings, entity management changes, corporate minute book updates, and corporate subsidiary database entries.
•    Prepare for all domestic and international subsidiary Board of Director meetings, including drafting agendas, resolutions, consents, memos and minutes, creating presentations and minute books.  
•    Arrange internal director and officer signatures on various corporate filings and documents (e.g., registry updates, annual reports, consents, etc.).
•    Respond to requests related to global subsidiary matters received from various departments within the company.
•    Coordinate formation or integration of new entities across the globe, whether via new formation or acquisition. 
•    Provide general corporate paralegal support and support mergers & acquisitions as needed.
•    Manage domestic subsidiaries, including corporate minute books, preparing/processing/filing regulatory state filings, and maintaining all corporate records in hCue database.
•    Coordinate & prepare all documents necessary for effective entity management (e.g., amendments, withdrawals, mergers and dissolutions, etc.).
•    Perform historic entity research for internal and external partners to locate, identify, preserve, redact, and/or produce hard-copy and electronically-stored corporate records and data. 
•    Assist with legal operations / systemization of legal tasks 
•    Support various legal projects and other duties as assigned. 

Qualifications/Requirements


•    Experience with entity database management, preferably CT Corp’s hCue platform.
•    Skilled with MS Office Suite (esp. Excel and Word), Outlook365 (Teams), SharePoint and Adobe Acrobat.
•    Excellent written and verbal skills, attention to detail, and friendly demeanor.
•    Self-starter who can successfully manage multiple deliverables in a timely manner with minimal supervision. 
•    Three years’ corporate governance experience or a bachelor’s degree preferred.
•    Paralegal certificate a plus
•    Legal operations experience a plus
