Scope of Role:

Provides administrative and paralegal support of a confidential nature for the corporate legal team, serving corporate and segment business needs, reporting to the Associate General Counsel II.

Specific Responsibilities Include:

Major Responsibilities:

Support the governance function in global subsidiary management matters, including management of legal entities, assisting with formations, dissolutions and internal restructurings. Draft and revise governance documents, including organizational documents, resolutions and other documents required in connection with entity maintenance and management.Coordinate with subsidiary directors and officers, external counsel and corporate secretaries to effectuate subsidiary entity management processes.Collect, enter and analyze documents and data in legal department information systems and tools, including the department’s entity management system and document management platforms.Partner with Legal, Treasury, Finance and Tax teams on governance matters and serve as a resource on corporate and subsidiary matters.Prepare, review and revise routine legal documents under the supervision of legal counsel.Assist internal counsel and senior corporate paralegal on file management and other special projects as needed.  Support review and negotiation of non-disclosure agreements under supervision of legal counsel.

Other Duties:

Identify key legal issues and bring them to the attention of internal counsel.Develop/Improve department processes and practices to improve the day-to-day efficiency and effectiveness of the legal team, driving cross-functional projects independently.Provide administrative support for internal counsel and backup support to the team’s legal billing administrator. 

Minimum Requirements:

Legal Paraprofessional Certificate preferredBachelors Degree preferred3-6+ years of applicable Paralegal experienceExperience with subsidiary entity management preferredStrong written and verbal communication skills; excellent grammar, attention to detail and ability to communicate with individuals at all levels of the organizationSkilled in basic and advanced functions of Microsoft Office products and SharePointExperience in or willingness/aptitude to learn legal software and tools, including e-billing, matter management, entity management/secretarial services, contract management and electronic signature platformsAbility to learn and apply knowledge and skills in relevant areas of the law, such as entity management and contractAbility to maintain confidentiality with sensitive issuesAbility to effectively manage and prioritize demanding workload and work well under pressure in a fast-paced environmentAbility to work independently with minimal oversight but also collaboratively as part of a team
