Description We are in search of an extraordinary Corporate Paralegal to join our legal team in Dallas, Texas. In this role, you will support the Chief Legal Officer in managing the company's governance processes and assist with compliance, documentation and regulatory matters related to the Company's NASDAQ listed status. You can show off your people skills as you work closely with the Board of Directors and executive leadership to ensure that corporate governance and legal obligations are met. Key Responsibilities: • Provide support in corporate governance. • Prepare and distribute Board and committee meeting materials, such as agendas, resolutions, and minutes. • Manage corporate records, ensuring the accuracy of governance documents, including bylaws, charters, policies, and corporate filings. • Coordinate logistics for Board and committee meetings, which includes scheduling, meeting notices, and follow-up on action items. • Assist in the preparation and filing of annual reports, proxies, and other regulatory documents required by the SEC and NASDAQ. • Maintain director and officer (D& O) questionnaires and records. • Prepare SEC filings, such as Form 8-K, 10-Q, 10-K, Section 16 Filings and annual proxy statements • Work closely with the Board of Directors, executive leadership, and other cross-functional teams to ensure that corporate governance and legal obligations are met. • Process commercial service contracts, mergers and acquisitions, financial/securities offerings and compliance matters • Ensure compliance with NASDAQ listing requirements Slow down! Paralegal Certificate preferred • Experience at a large law firm or publicly traded corporation is hoped for • Expertise in Corporate Governance is essential • Proficient in Microsoft Office; EXCEL, Word, PowerPoint skills desired • Experience in managing stockholder meetings • Facilitate the annal stockholder meeting by drafting meeting materials and managing the voting processes • Ability to maintain Corporate Minute Books is a requirement • Assist in drafting, reviewing and maintaining corporate contracts and agreements • Ensure all required filings and regulatory deadlines are met • Knowledge of SEC Financial Reporting is required • Make a difference in your life while you are making your living.
