HDR seeks a collaborative paralegal with experience supporting transactional and corporate legal functions to join its in-house legal team in Omaha, Nebraska. Our ideal candidate is highly motivated, enjoys working in the office, has great interpersonal and teamwork skills, oral and written communication skills and good judgment, appreciates the necessity of discretion when working with or around confidential or sensitive information, possesses an ability to anticipate and deliver support to our in-house attorneys in accomplishing work effectively and efficiently to satisfy the needs of a dynamic, diverse, and global business team, and the flexibility to manage an evolving variety of assignments.

Primary Objectives

This position supports our in-house attorneys in accomplishing work effectively and efficiently. This person will focus on building trusted partnerships within the Legal team and with internal client stakeholders. More specific duties include but are not limited to:

Assisting with global legal entity establishment, management and dissolution, corporate registrations and licenses, authentication of documents, corporate governance, board meeting preparation, resolutions and minutes, maintenance of corporate records and organizational charts, director, officer and authorized signatory registers and annual meeting preparation.Assisting, supporting, and organizing MA due diligence, closing, and post-closing legal tasks (e.g., preparing closing checklists).Reviewing and providing support on legal contracts (e.g., NDAs, subconsultant agreements, service provider provisions, and data transfer agreements) under the direction and oversight of our in-house attorneys.Working collaboratively and harmoniously with internal stakeholders to timely execute legal tasks on transactions worldwide.Obtaining and reviewing status of good standing certificates, professional and entity licenses, business certificates and other corporate and professional licensure status documents in support of transactions.Taking on new tasks and assignments in support of implementing and strengthening HDR’s transactional practices, processes and procedures as they evolve over time.Performing legal and factual research utilizing various sources including the internet, the company’s intranet, and other software and applications, and drafting research results in memorandum format for attorney review.Serving as additional support with attorneys and legal staff, as needed, with international, compliance, conflicts of interest, data privacy or other areas such as drafting resolutions, powers of attorney and other corporate legal documents, and tracking, filing, and otherwise facilitating timely responses to FOIA or other open records requests.Reviewing and processing outside counsel and legal consultant invoices against engagement agreements and billing guidelines.Supporting our corporate insurance program: reviewing certificates of insurance for compliance with contractual requirements, coordinate with insurance brokers to bring certificates of insurance into compliance,collecting underwriting information for insurance renewals, submitting claims with insurance carriers, and monitoring compliance with the corporate vehicle use policy.Reviewing company policies and practices to promote and adhere to company’s goals and compliance with applicable laws.Performing other duties as needed across all HDR companies.Preferred QualificationsCertified Paralegal (CP) or Advanced Certified Paralegal (ACP) designationThis position is in Omaha, Nebraska; due to our collaborative team environment, we expect candidates to work in the office 5 days/week. Occasional flexibility for work from home is permitted with advance supervisor approval.Investigative mind and strong research skillsWorking knowledge legal database softwareExperience in preparing legal reportsAbility to navigate changing environments and perform in a fast-paced settingPrior law firm experienceWork history demonstrates track record of performanceCommitment to Company's core values

Required Qualifications
BS or BAA minimum of 2 years of legal experience working directly with attorneysStrong organizational skills and sharp attention to detail for this fast-paced, document-intensive position Proficient in Microsoft Word, PowerPoint, Excel, Outlook, Legal Tracker with the willingness to learn new software programsExcellent communication and interpersonal skills required to interact with executive management, staff, attorneys, outside counsel and internal and external clients on a daily basisAbility to use good judgment in taking initiative and proceeding on a project or getting direction and clarificationComfort to work independently to resolve problems and confer with attorney(s) on final solutions or next step processesMust be proactive, flexible, solutions-oriented with ability to navigate through obstaclesMust be team-oriented, responsive, collaborative, organized
