Paralegal
As a Paralegal with Heritage you will be responsible for supporting the organization's Legal department including managing corporate records, drafting contracts, and ensuring compliance with State and Federal regulations.
Ideal candidates for this position will be detail-oriented with strong legal knowledge, excellent communication skills and the ability to work confidently under pressure. Essential Functions & Requirements:
+ Prioritizes health and safety by adhering to policies, processes, and maintaining safe practices at all times
+ Maintains corporate records; ensures all records, including meeting minutes, resolutions and bylaws, are updated and accurately filed
+ Assists in ensuring the Company complies with all relevant laws and regulations, including preparing and filing necessary documents with regulatory bodies
+ Drafts, reviews, and revises various types of contracts, such as NDAs, customer agreements, and vendor contracts
+ Assists in the negotiation of contract terms to ensure the best interests of the Company are met
+ Oversees the contract lifecycle management process, including the execution and proper filing of contracts and the maintenance of a tracking system for contract deadlines and renewals
+ Supports merger and acquisition activities; assists in the due diligence process, coordinates with internal and external stakeholders, and ensures compliance with regulatory requirements during mergers and acquisitions
+ Organizes and manages legal documents, ensuring they are easily accessible and securely stored
+ Manages correspondence related to corporate and contract matters, including communication with external counsel and regulatory bodies
+ Provides administrative support to the Legal team as needed
+ Maintains the ability to occasionally perform duties during overtime hours to meet deadlines or during peak periods of activity
+ Takes on additional duties as assigned to support the team and organization
Education:
+ High-school diploma or equivalent (required)
+ Paralegal certificate from an ABA-approved program (preferred)
+ Certified Paralegal (CP) or Certified Legal Assistant (CLA) certifications (preferred)
Experience:
+ 3+ years of experience as a corporate or contracts paralegal (required); experience within a corporate legal department or law firm (preferred)
+ Proficiency in Microsoft Office Suite and SharePoint (required)
+ Understanding of legal terminology, corporate governance, and contract law (required)
Competencies:
+ Excellent written and verbal communication skills with the ability to clearly convey legal concepts to non-legal stakeholders
+ Exceptional organizational skills and attention to detail with the ability to manage multiple tasks and deadlines effectively
+ Collaborative mindset with the ability to work effectively as part of a team
+ The ability to manage confidential information with integrity and discretion
+ Regular and predictable attendance to perform the functions and requirements of this role
