Description Robert Half is seeking a Senior Paralegal with 7-10+ years of experience to join a wonderful company. This role can be based out of the Chicago or Naperville office. In this role, you will be involved in various areas of investment management, providing crucial paralegal support to a fast-paced, innovative, and commercially driven Legal Department. This position will also encompass various other projects as required, ranging from corporate to real estate. This is a great opportunity to take the next step in your Paralegal career. Responsibilities of this Paralegal position include but are not limited to: Responsibilities: • Liaise between the Legal Department and other departments, as well as external service providers and legal counsel. • Coordinate Board of Trustees meetings, including drafting agendas, materials, and resolutions, and follow up on matters post-meeting. • Manage the preparation and submission of SEC regulatory filings, including Forms N-1A, N-2, and others. • Maintain the minute books and records for all of the firm’s Investment Company Act-registered pooled investment vehicles. • Provide assistance in the review of ISDA agreements and other derivatives-related agreements. • Handle the coordination of closed-end fund shareholder meetings, including liaising with the proxy solicitation firm and transfer agent. • Perform legal research on a range of topics. • Assist in-house counsel with special projects, such as fund launches, regulatory and internal audits, closing binders, due diligence materials, insurance, etc. • Review and complete RFPs and DDQs. • Handle administrative support functions related to the paralegal function, such as editing/revising documents, filings, scheduling meetings, etc. • Manage confidential and sensitive information including contracts, offerings, litigation, etc. with the utmost discretion. Requirements • A minimum of 7 years of experience in a paralegal role, preferably in a corporate setting • Proficient in SEC filings and understands the legal and regulatory requirements • Experience in managing and maintaining Corporate Minute Books • Experience in Equity Investment and the legal aspects associated with it • Proficient in conducting Due Diligence for various business transactions • Extensive knowledge and experience in Corporate Law, including its principles and practices Robert Half is the world’s first and largest specialized talent solutions firm that connects highly qualified job seekers to opportunities at great companies.
