The Paralegal will play a key role in reviewing, analyzing, and drafting contracts to ensure compliance with company policies, legal standards, and best practices. The individual in this role will work closely with attorneys, clients, and other stakeholders to manage contracts from negotiation through finalization while safeguarding the organization’s interests and minimizing risks.
Key Responsibilities
Contract Drafting and Preparation
+ Draft, review, and proofread legal documents, including contracts, agreements, and amendments.
+ Ensure contracts align with company policies, regulations, and objectives.
+ Draft changes to contracts that mitigate risk and prevent disputes.
Legal Research and Analysis
+ Conduct research on legal precedents, ordinances, regulations, and laws to ensure contracts comply with relevant standards and statutes.
+ Analyze contracts to identify potential issues, inconsistencies, and opportunities for improvement.
Contract Negotiation and Finalization
+ Assist in negotiating terms and conditions with clients, vendors, partners, and other stakeholders.
+ Collaborate with internal teams to ensure that contracts meet the needs of the organization while minimizing potential conflicts or risks.
Document Organization and Maintenance
+ Organize and maintain a centralized database of contracts, tracking important dates, milestones, and obligations.
+ Ensure accurate filing and timely renewal of contracts, ensuring no deadlines are missed.
Client and Stakeholder Interaction
+ Meet with clients, attorneys, and other professionals to discuss case details and contractual obligations.
+ Serve as a point of contact for contract-related inquiries and clarify terms or resolve ambiguities.
Error Prevention and Quality Control
+ Carefully review contracts to identify errors, inconsistencies, or clauses that may be exploited, and suggest corrective actions.
+ Ensure contracts align with the organization’s mission statement and long-term objectives.
Risk Management and Compliance
+ Evaluate contracts to ensure that they benefit the organization and minimize legal risks.
+ Propose modifications to ensure compliance with applicable laws and regulations.
Court Filing and Legal Documentation
+ Assist in the preparation of legal claims, arguments, and court filings as necessary.
+ Organize, file, and maintain documents in a secure and efficient filing system.
Collaboration and Support
+ Work closely with the legal team to ensure contracts are high-quality, dispute-free, and reflect organizational goals.
+ Support senior attorneys in the preparation and management of legal matters.
Qualifications
+ Bachelor’s degree in Paralegal Studies, Legal Studies, or related field; Paralegal certification preferred.
+ 2 - 4 years of experience as a Paralegal, Contract Specialist, or similar role, with a strong understanding of contract law.
+ Excellent skills in drafting, proofreading, and analyzing legal documents.
+ Strong knowledge of legal terminology, regulatory requirements, and industry standards.
+ Exceptional attention to detail with the ability to identify discrepancies and errors.
+ Effective communication and interpersonal skills, with the ability to work with both internal and external stakeholders.
+ Ability to handle sensitive information with integrity and discretion.
+ Strong organizational and time-management skills with the ability to manage multiple tasks simultaneously.
The Paralegal will primarily work in an office setting, with occasional meetings and interactions with external clients or stakeholders. Some tasks may require working under tight deadlines, requiring attention to detail and effective time management.
