We are seeking an experienced and motivated Corporate Paralegal to join the Company’s legal department. This role offers an exciting opportunity to contribute to high-impact legal operations within a collaborative and innovative environment.
Responsibilities Work cross-functionally with a range of legal and internal departments including Litigation, Contracts, Risk Management, HR, Finance, IT, and Procurement.Support General Counsel with activities such as strategic and operational plans, board reports, budget and spend management, vendor management, communications, and special projects.Manage all corporate entity filings and records, including research of registration requirements, officer and director records, registered agent filings, and maintenance of operating agreements, articles, bylaws and amendments.Manage Intellectual Property portfolio (patents, trademarks, and copyrights) by coordinating with external counsel and internal stakeholders on which to file and maintain; includes coordinating patent renewals and annuity payments as well as assisting in the prosecution of applications.Assist General Counsel with merger and acquisition work and the support of applicable data rooms.Draft correspondence such as enclosure, acknowledgement and cover letters.Records management, including compliance with retention policies, issuance and compliance with legal holds, file closing and storage.Review marketing materials for compliance with registered marks requirements and product substantiation.Additional responsibilities as needed to support the team and company goals. QualificationsEducation, Experience, Certifications
Degree from accredited college or university.Paralegal certification from accredited institution preferred.4-7 years minimum of paralegal or combination paralegal/legal secretary experience.Experience with electronic billing and expenses systems such as Serengeti, Concur, JDE and Gauss and with Document Management Systems, a plus.Competencies, Skills, Knowledge
Proficiency in all Microsoft applications including Word, Excel, Power Point, Outlook.Take ownership of the role and be proactively accountable for the work and results;Be highly organized and professional at all times;Work well under pressure to meet deadlines;Demonstrate great attention to detailPhysical Demands & Environment
This position requires you to be on site at our Alphratta, GA headquarters office.Must be able to sit for extended periods while performing desk-based tasks and occasionally stand or move around the office as needed.Travel Requirements
Occassional travel may be necessary to fulfill business needs and support various projects and initiatives.
