Job Description
The Transactional Paralegal II is responsible for initiating and producing work at a high level of competence in one or more areas of law in support of attorneys in the Legal Department and/or business clients. These services include a wide variety of project management, para-professional and support services for the Legal Department. Knowledge and an understanding of diverse practice areas, processes, laws, rules and regulations are required. The specific duties of the Transactional Paralegal II may vary based on Legal Department needs and will include, but not be limited to assisting with a variety of transactional documents.
Job Duties Draft, review and negotiate agreements and other legal documents under supervision of an attorney. Assist in the creation and enhancement of template agreements and playbooks. Attend and/or lead meetings and conference calls with business groups and clients, as well as vendors, customers, outside counsel, and opposing counsel. Follow up on action items with attorneys to ensure they are addressed and resolved. Ensure compliance with various federal, state and local laws, along with company policies. Assist in performing research regarding various areas of the law. Assist in the implementation of programs and projects designed to ensure continued compliance with applicable federal, state and local laws, rules and regulations. Manage special projects and perform other duties as directed by attorneys in Legal Department. Manage the intake process for requests for legal review of contracts, ensuring all necessary information is collected and documented. Maintain and organize contract files and databases, ensuring all documents are up-to-date and easily accessible. Perform other related duties as assigned. Job QualificationsRequired:
Bachelor of Art or Science degree preferred, or paralegal certificate or equivalent knowledge required. A minimum of three (3) years of paralegal or equivalent experience is required.
Preferred:
Prior experience in a corporate legal department is a plus. Strong understanding of contract law and legal terminology. Preferred background in drafting, reviewing, and negotiating Agreements related to the sale and distribution of products, Supply, Development, Master Services, Consulting, Product Purchases, Clinical Trials, HCP Consulting, data privacy, and Non-Disclosure Agreements. Preferred experience with regulations and contractual matters impacting medical devices or similar industries such as the FDA regulations, OIG guidance, health care fraud and abuse, HIPAA, GDPR, and Open Payments.Why join Olympus?
