\nThe Corporate Paralegal will provide support to General Counsel in the following areas: contract drafting, review and maintenance, legal database oversight and maintenance, corporate compliance and governance matters, administrative assistance with issues and projects under the responsibility of the General Counsel’s office.
\nResponsibilities will also include activities to help improve the efficiency of the Legal department and contain costs, including: (i) project management of ad hoc projects handled by the General Counsel office, (ii) supporting the
\nbudget and quarterly accruals process, (iii) performing data analytics and reviewing and running reports; (iv) supporting legal operations work streams and technologies; and (v) substantive work on continuous improvement efforts working with in-house and outside vendors.

\nHours: On-site 8:30-5:00 Monday-Friday
\nPay: $38-40

\nLegal Understanding and Support:
\nAbility to support internal legal counsel with support on a wide range of legal issues, including governance, asset management, charitable gifts, corporate compliance and risk management.
\nAbility to understand and provide support to internal legal counsel on compliance with relevant laws,
\nregulations, and industry standards affecting the organization’s operations.
\n
\nContracts and Agreements:
\nReview, assist in drafting and managing a wide range of grant, consulting, business and administration contacts, agreements and other legal documents concerning the Foundation’s work, including complex gift transactions.
\nCollect and arrange data from committees and departments for internal and external reports and inquiries.
\nWorks as a member of interdepartmental teams to complete applications for the Company.
\n
\nGovernance and Compliance:
\nAssist in oversight of corporate governance matters, including maintain corporate records and ensuring compliance with applicable laws and regulations.
\nAssist in developing, implementing and maintaining compliance systems and processes for tracking legal matters to ensure the organization’s adherence to legal and regulation obligations.
\nAssist in identifying potential legal and regulatory risks and developing mitigation strategies.
\nAssist in the administration of Board and Committee meeting process.
\n
\nLitigation and Claims Management:
\nServe as liaison with outside counsel and legal consultants.
\nReview, code and process legal bills from outside counsel
\nDevelop and implement reports for monitoring outside legal spending.
\nHandle requests for information and documents, review and transmit information and documents to outside counsel and company personnel.
\n
\nProject Management:
\n Serve as project manager of special projects being handled by the General Counsel’s office.
\nEvent Support: Coordinate and work collaboratively with the Executive Office team to plan and coordinate all board and committee meetings. Provides support for key internal briefings, relationship-building, and stewardship events as needed.

\nEducation
\n??????Bachelor’s Degree Bachelor’s degree required. Paralegal degree or certification or
\nactual experience working as a corporate paralegal.
\n
\nExperience
\n? 3-5 years experience in business and corporate law.
\n? Excellent analytical and communication skills
\n? Background or training in project management.
\n? Demonstrated ability to understand legal and manage
\ncomplex legal issues.
\n? Experience working collaboratively with senior leadership
\nand boards of directors
