Position Specific Description
We are seeking a Principal Tax Attorney to work on NextEra’s Federal Tax Planning & Policy team. NextEra has the largest team of tax attorneys in Florida and one of the largest teams of tax attorneys of any public company. This role will focus on the negotiation and structuring of NextEra’s financing structures, including tax equity partnerships and other joint ventures, tax credit transfer deals, and securities offerings. This role will also involve reviewing and commenting on tax aspects of financial models for various transactions NextEra participates in.
Professional Experience
• Strong transactional tax background with experience working on mergers and acquisitions, joint ventures, financings, and reorganizations.
• Significant experience working with the rules in Subchapter K and Subchapter C and structuring complex transactions, including preparing steps plans laying out economic and tax aspects of transactions.
• Reviewing and revising transaction documentation, including drafting of economic and tax provisions of purchase and sale agreements and LLC/partnership agreements.
• Research and drafting of legal memoranda or opinions analyzing federal income tax law issues.
• Serving as a primary tax adviser to business clients, including by explaining technical tax issues in layman’s terms.
• Energy industry experience is a plus, but not required.
Preferred Qualifications
• Experience working in the Tax department of an AmLaw 100 law firm or the Washington National Tax or M&A group of a Big 4 public accounting firm

Job Duties & Responsibilities Serve as the US federal income tax single point of accountability for assigned projects and identify state income tax and non-income tax issues Support various worldwide tax projects, including analyzing relevant tax law for tax planning transactions; working with foreign and domestic tax advisors to understand relevant tax rules; partnering with multiple business units to understand both domestic and foreign tax implications; and preparing and/or reviewing financial models to illustrate the tax consequences of various alternatives Communicate complex technical tax issues to management and internal stakeholders Draft and review tax provisions Prepare technical tax memoranda Performs other job-related duties as assigned Required Qualifications Bachelor's Degree Juris Doctorate Experience: 3+ years Member in Good Standing of State Bar Preferred Qualifications LLM - Master of Laws
