Private Equity Attorney - Mid-Level Associate

A highly regarded corporate law team is seeking an attorney with 4-5 years of private equity and M&A experience to join its practice. This role is ideal for candidates who excel in transactional structuring, negotiation, and strategic advisory for private equity sponsors and their portfolio companies.

  Position Responsibilities: Draft and negotiate purchase agreements, merger agreements, and entity governance documents (LLCs and LPs) Provide transactional support and strategic counsel to private equity clients Manage deal processes, coordinate with business teams, and oversee transaction execution Work in a collaborative, fast-paced environment, supporting complex private equity transactions Serve as a key advisor on structuring fund and portfolio company investments   Qualifications: 4-5 years of experience in private equity and M&A transactions at a leading law firm Strong drafting, analytical, and negotiation skills Excellent organizational, project management, and leadership abilities Business-oriented mindset with strategic problem-solving skills Outstanding academic credentials and prior experience working with private equity sponsors   Compensation & Benefits: Competitive salary ($310,000 - $365,000) based on experience and location Comprehensive benefits, including medical, dental, vision, and retirement plans Generous paid time off, parental leave, and professional development opportunities
