SEC Reporting Manager
Description Fortune 500 company in northern VA is seeking a SEC Reporting Manager to join their 3-person team. This is a tremendous opportunity for someone coming out of a top public accounting firm or has experience in public accounting and transitioned into industry already. The SEC Reporting Manager will report to the Director of Financial Reporting. Core responsibilities include: SEC Reporting: • Collect and assess accounting and disclosure data in agreement with SEC rules and filing deadlines connected to the preparation of Forms 10-Q, 10-K, 8-K, Proxy Statement and Annual Report, etc. • Compile the XBRL filing, including pinpointing suitable tagging and coordinating with external supplier on quarterly updates and completion schedule. • Prepare and submit required Section 16 reports (Forms 3, 4, 5) and Report 144 for the reporting of Executive Officer and Director stock dealings. • Write draft quarterly press releases and team up with the VP of Planning to finalize and submit. • Investigate and support execution of new, anticipated and existing SEC rules and FASB pronouncements and interpretations on a Company wide basis. • Constantly stay updated on industry developments in regards to new FASB announcements, SEC regulations, etc. • Evaluate and report findings on how competitors in the sector are implementing new rules and regulations. Corporate Accounting Responsibilities: • Direct a large business segment’s consolidation and supervise staff to compile the consolidation and related substantiating documentation each month. • Review and prepare the company's consolidation each month and related supporting documentation. • Finalize the financial reporting for the company’s retirement plans including audit support materials and PST/401K and ESOP financial statements and PST 11-K filing. • Review and prepare assigned monthly reconciliations supporting the trial balance. • Review and prepare schedules and other back up for the company’s external Certified Public Accountants in relation to their annual audit, quarterly reviews and retirement plan audits. • Complete the company's earnings per share computation, including reviewing the calculation of fair value of option grants as well as, examining and incorporating any regulation changes which may impact the EPS calculation. • Provide the Planning department relevant supporting documentation regarding compliance with the Senior Note Indenture. • Assist with preservation of the corporate Policies and Procedures manual. Special Projects: • Assist in the completion of accounting, reporting, proforma and supporting schedules for public offerings and other dealings. • Prepare other financial analysis and projections as asked by the CFO, Controller or Director of SEC Reporting.
