Senior Advisor, Transactional Risk

Marsh USA LLC is seeking candidates for the following position based in the San Francisco, CA office (A telecommuting/hybrid work schedule may be permitted within a commutable distance from the worksite, in accordance with company policies.):

                                                            Senior Advisor, Transactional Risk

We will count on you to:

Serve as the primary senior Transactional Risk Practice representative for Marsh on the US west coast with respect to the Representations and Warranties Insurance (RWI) product. Advise both private equity and strategic acquirers on the potential liabilities associated with corporate transactions (including mergers and acquisitions) and guide them to utilize RWI to mitigate the associated liabilities. Have a detailed understanding of the risk appetite, underwriting approach and claims handling capabilities of the insurance companies and managing general underwriters that provide RWI policies to guide insurer selection for a given deal and to advocate on behalf of the client in the negotiation and placement of each RWI policy. Analyse any given company’s risk profile based on the review of due diligence reports, financial statements and other internal documents and ensure that the breadth, scope and limits of any RWI policy are adequate to address such risk profile. Conduct presentations for law firms and prospective clients, while continuing to maintain relationships with existing clients. Demonstrate a broad understanding of property and casualty insurance products, along with a general understanding of other Transactional Risk insurance products (such as Tax insurance and Contingent Liability insurance) to leverage the firm’s resources to address client needs. Oversee the production of all client deliverables relating to RWI policies, and engage in independent, senior-level interactions with external parties, including counsel on M&A transactions covered by the RWI policies. Serve as a thought leader within Marsh and assist in the training and development of junior colleagues in the RWI sector.

What you need to have: 

Must have a Bachelor’s degree or foreign equivalent in Business Administration, Finance, or a related field, plus four (4) years of experience with Representations and Warranties Insurance in the position offered or in a related position. Four (4) years of experience must include: Interpreting legal structures utilized in corporate transactions, assessing the applicable risks that exist in any given proposed acquisition structure (including, but not limited to, equity purchases, asset purchases, reverse triangular mergers, minority investments, secondary transactions, and carve outs), and advising on optimal use of RWI on such transaction structure for both clients and their advisors; Analyzing and negotiating representations and warranties in transaction documents, along with interpreting the associated indemnity obligations; Drafting insurance policies or contracts and performing insurance coverage analysis; Advising both private equity and strategic acquirers on liabilities associated with corporate transactions, along with unique requirements for each type of client; Negotiating, drafting or placing RWI policies on more than 100 transactions including more than 10 transactions with an enterprise value of at least $1B and RWI policy limits of at least $100M; Articulating the interplay of claims-made insurance policies and liabilities associated with mergers and acquisitions; Reviewing or drafting due diligence reports across various functional areas (including financial, legal, tax, environmental, insurance.) to assess a company’s risk profile and potential areas of liability.

The applicable base salary range for this role is $275,500 to $350,000 per year.

The base pay offered will be determined on factors such as experience, skills, training, location, certifications, and education. Decisions will be determined on a case-by-case basis. In addition to the base salary, this position may be eligible for performance-based incentives.
