Role description

Job title: Senior Associate: Commercial Contracting    
Group: GDS, supporting the General Counsel’s Office (GCO) 
 

The opportunity
This is an exciting opportunity to join a fast-growing team within EY. Based in the RMS-GCO Commercial Contracting team in GDS India, the role will support the General Counsel’s Office and support EY’s business on Client and Vendor contracts. You will provide legal support to the business and become a trusted adviser of stakeholders (often at senior level, including engagement partners). You will be expected to assess and understand how firm risks can be best managed and mitigated.  

 

Description/responsibilities:

Shall be part of the Oceania GCO team, and shall as EY’s legal representative be responsible for drafting, reviewing and advising on various contracts, in particular:

Master Services Agreements, Professional Services Agreements, Framework Agreements.   Client Contracts (Engagement Agreement, Teaming Agreement, Sub-Contract Agreement, RFPs, Managed Services Agreement); IT contracts: Software License contracts.


Key Responsibilities

Responding to Request for Proposals in line with corporate norms, GCO’s risk mitigation and bid strategy. Preparing contract deviation list/ summary. Extensive experience in dealing with Govt Contracts and RFPs. Providing business and legal advice and guidance to internal clients and end users regarding potential issues stemming from new and existing contracts. Working with internal clients to develop strategies to address issues identified. Communicating challenges, risks and benefits to appropriate management levels, affected user groups and other members of the GCO in the relevant jurisdictions. Understanding practice and user business goals and how they impact the types of products and services procured. Coordinating with cross functional teams (tax, data privacy, information security) in respect to contract review as appropriate. Ensuring that accurate and sufficient contractual documentation are agreed to effectively document procurement transactions and to protect EY’s interests. Developing understanding of EY policies and ensuring that all contractual documents are compliant with all relevant EY policies. Maintaining an understanding of the impact of changes in EY policies, organizational structure, and procedures.


Knowledge, skills and experience:

Candidates needs to have a minimum of 3-5 years of Contract review, drafting and negotiation experience; Candidate who have a good knowledge of IT law plus hands-on experience in client facing transaction, preferably from an in-house team of an IT company. Excellent interpersonal skills with the ability to effectively communicate with internal stakeholders and vendors; Ability to team effectively with onshore legal team and colleagues in other functions; Ability to grasp, understand, and accurately articulate and document the transactions; Expertise in contract drafting, software licensing, intellectual property, data protection; Ability to assess size, scope and overall risk of contemplated transactions and to tailor contracts accordingly; Highly responsive with ability to manage high workload volumes efficiently and effectively; Solution oriented with focus on exceptional client service; Keen attention to detail; Strong communication and English language (verbal and written) skills; Solution oriented with relentless focus on world class execution of projects and tasks; Confidence, maturity and high degree of awareness to be able to work effectively with a broad base of senior-level internal stakeholders; Strong sense of personal responsibility and ownership for success of a given task; Eagerness to contribute in a team-oriented environment and ability to work cooperatively with other teams and country practices, demonstrating cultural sensitivity; Strong service-oriented personality, proficient at delivering the highest quality of work within deadlines; High levels of personal energy and appetite for work and success.

Qualifications

LLB with 3-5 years of post-qualification experience in a major jurisdiction.
