Overview The Senior Contracts Administrator will report to the Director of Legal Services and will be responsible for supporting the contracting function across all of Sarnova’s business units. The successful candidate will be able to provide creative, collaborative, and solution-oriented commercial legal support throughout the enterprise. Hybrid Schedule: M&F home office based, T-TH in office Sarnova is the leading national specialty distributor of health care products in Emergency Medical Services (EMS) and Respiratory Markets and is the industry leader in Revenue Cycle Management within Emergency Medical Services (EMS). Responsibilities Summary: The Senior Contracts Administrator will report to the Director of Legal Services and will be responsible for supporting the contracting function across all of Sarnova’s business units. The successful candidate will be able to provide creative, collaborative, and solution-oriented commercial legal support throughout the enterprise. The Senior Contracts Administrator will review, draft, and negotiate a wide range of contracts and provide recommendations for attorney review, where applicable. In addition, the person in this role will coordinate with attorneys to advise internal stakeholders on contractual rights and obligations and provide interpretation of terms and conditions. The successful candidate will also have the ability to coordinate with other stakeholders across the organization and identify and resolve collateral contract issues. Essential Duties and Responsibilities: Independently review, draft, negotiate and manage a wide range of contracts (e.g., confidentiality agreements, consulting agreements, master services agreements, vendor agreements, business associate agreements, amendments, purchase orders). Maintain and periodically update, in collaboration with attorneys, the library of contract templates, legal playbooks, contract clause library, riders and alternative provisions. Maintain and track all contracts and applicable files through the company’s contracts database. Administer and track contract lifecycle. Design, develop and maintain ongoing improvements to the contract management process and procedures, in conjunction with sales and operations counterparts. Ensures contracts accurately convey business terms while protecting the company’s interests. Advise and troubleshoot on existing agreements under the supervision of attorneys. Define and prioritize risks and be able to communicate those risks to appropriate internal decision-makers for discussion and resolution. Support contract operations and enforce data integrity by performing quality check and audits of archived contracts to ensure data is captured and properly tracked. Manage contract execution with tools such as DocuSign. Clean up and track historical contracts to ensure contract repository is up to date and accessible to all relevant users. Develop governance to implement contract template changes and process change requests. Partner with relevant internal stakeholders to identify opportunities to improve contracting process effectiveness and efficiency. Skills/Experience Required: BS/BA degree and 10 years of relevant contract management and/or legal operations experience. Demonstrated experience in contract drafting, negotiation, and contract lifecycle management. Strong computer skills with a working knowledge of MSFT Office (Outlook, Word, Excel, Teams), DocuSign, and Adobe. Ability to clearly, concisely, and comprehensively draft complex concepts, provisions, and deal structures into contracts Efficiently manage a large volume and variety of transactions, negotiate numerous standard and complex corporate and commercial agreements while balancing appropriate legal and business risks Demonstrated ability to maintain the utmost level of discretion and confidentiality of sensitive and highly confidential information Ability to collaborate cross-functionally (sales, marketing, IT, HR, finance, customer service, warehouse etc.) to achieve business objectives Ability to clearly, concisely, and comprehensively translate and communicate complex concepts at all levels of an organization Proven ability to draft clear and complex policies, processes, procedures Strong research skills Strong attention to detail and accuracy Strong interpersonal skills and the ability to resolve competing interests Self-motivated, goal oriented and results driven Sarnova is an Equal Opportunity Employer.
