YOUR IMPACT
The OpenText Legal Business Services Team, the largest division within the OpenText Legal Department, aims to be a business enabler, trusted business partner, and valued expert across all of OpenText. We are seeking a high-performing, self-directed Senior Contracts Manager to join our Partner Legal team. This exceptional opportunity allows you to learn about the partner and OEM business of a large enterprise information software and cloud company, significantly impacting the company's growth. It's an exciting time to join our team as we work on consolidating the OpenText Partner Network and expanding our business with SAP.

 

You will thrive in an evolving organization and be adept at connecting business strategy to legal work. Reporting directly to and working closely with the General Counsel for the Partner & OEM business, you will be part of a global yet close-knit Legal team. This role encompasses both US and global responsibilities, providing a broad and dynamic work environment.


 

WHAT THE ROLE OFFERS
•    Collaborate Across Departments: Work cross-functionally with various teams to close deals and achieve the commercial objectives of the partner and OEM teams.
•    Draft and Negotiate Agreements: Draft, review, and negotiate a wide range of agreements, including partner, reseller, distribution, OEM, SaaS subscription, license, master and professional services, and privacy-related agreements.
•    Educate and Improve Processes: Educate business partners outside of the legal department on best practices and processes for contract review and execution and suggest process improvements.
•    Drive Strategic Initiatives: Lead and project-manage deals and strategic initiatives, including developing and implementing processes that improve time-to-contract without significantly increasing risk.
•    Train Colleagues: Provide training to other legal or business colleagues on your team’s area of expertise.
•    Maintain Document Systems: Support the maintenance of the document management systems and wikis.
•    Organize Contract Repositories: Organize and consolidate contract repositories.
•    Leverage Technology: Utilize technology relevant to in-house legal teams, such as wikis, PowerPoint, Excel, LegalTech, Microsoft Forms, and SFDC.
•    Manage Contract Lifecycles: Oversee the contract lifecycle and approval processes within a large enterprise.

 

 

WHAT YOU NEED TO SUCCEED
•    8+ years’ experience in commercial contracting, preferably in an in-house setting on the sell-side of commercial contracting 
•    Good understanding of partner (reseller, technology partnerships, distribution agreements) and OEM agreements preferred
•    Experience with SaaS subscription agreements, software licenses, master and professional services agreements and data processing agreements 
•    Proficient in Microsoft Office Suite, PDF editors (Adobe Acrobat), e-signature tools (AdobeSign or DocuSign) and any LegalTech, considered a strong plus
•    A track record of good judgment and decision-making in a legal role with meaningful responsibility but all-the-while with a view to being a business enabler
•    Ability to work autonomously and independently drive contracts and projects to completion 
•    Communication skills to effectively interface with non-legal colleagues as well as external partners and customers
