Senior Corporate Counsel, Employment & Litigation

JOB SUMMARY:

Primary responsibilities of this attorney are litigation, employment, and privacy matters. This attorney manages a large litigation caseload, including labor & employment litigation, all non-real estate single-plaintiff and complex litigation, regulatory agency complaints and a variety of other commercial and consumer-oriented litigation. The attorney is responsible for all aspects of case management, including responding to demand letters and administrative agency charges, oversight of outside counsel, setting case strategy, negotiating settlements, as well as managing the litigation proceedings and filings.

The attorney's responsibilities are also to analyze, provide counsel, and manage the execution of initiatives intended to ensure the Company's compliance with applicable labor and employment laws. In addition, this position provides day-to-day advice and counsel to Human Resources on a broad range of matters, including advice on legal and business risks, recruiting, hiring, employee relations, discipline and terminations, internal investigations, leaves of absence, wage and hour compliance, and EEO compliance. Further, this position takes lead in preparing and conducting employment law training programs for HR and management.

In addition, this attorney advises supervisors and internal clients on legal and business risks for Member Services and provides day-to-day advice to Member Services on a variety of member-related issues, from discrimination claims to club safety.

ESSENTIAL DUTIES & RESPONSIBILTIES

Litigation Management

Manage large litigation caseload, including labor & employment litigation, all non-real estate single-plaintiff and complex litigation, regulatory agency complaints and a variety of other commercial and consumer-oriented litigation.

Handle all aspects of local and state agency claims (e.g. DLSE, EEOC, and other federal and state agency matters) including drafting of position statements and mediating such claims as required.

Provide ongoing reporting and analysis on litigation trends, specifically in labor & employment and consumer claims.

Maintain a frequently updated database of all demand letters, agency charges, single plaintiff, complex matters, and other litigation.

Partner with Senior Leadership and key internal business partners to provide risk assessments, updates and strategy recommendations for current matters, advice on litigation avoidance, and advice on litigation trends.

Provide litigation updates (as appropriate) to General Counsel detailing new matters and noteworthy updates for current ones. Provide comprehensive recommendations for each matter regarding litigation strategy and settlement opportunities where appropriate.

Manage panel of outside counsel that provide superior legal service with billing rates appropriate to their assigned matters.

Update Outside Counsel Billing Guidelines and ensure compliance. Reduce legal spend per matter in the absence of unusual circumstances.

Work with Human Resources and Member Services to resolve potential disputes and complaints prior to litigation, and to stay abreast of internal trends.

Conduct research and consult with outside counsel and handle other details in preparation of legal documents.

Remain current on employment law trends and take proactive, affirmative steps to minimize potential legal exposure for the Company.

Represent Company and conduct negotiations regarding legal terms and conditions, administration matters, and disputed issues.

Oversee and manage litigation, administrative charges and investigations.

Employment

Provide advice to Human Resources and management concerning employee relations, staffing strategies, benefits, performance management, disciplinary programs, severance programs, compensation and commission plans, wage and hour issues, ADA compliance, equal employment opportunity laws and internal investigations

Advise management concerning reductions in force, severance plans, investigations, and negotiations with legal and government authorities.

Provide assistance on matters related to human resources, including training, employment contracts, policy, discipline and terminations.

Provide legal advice and services to senior management in order to support decision-making and policy development.

Negotiate and draft settlement, severance and retention agreements.

Represent company and conduct negotiations regarding legal terms and conditions, administration matters, and disputed issues.

Gather evidence and information for management decision making.

Conduct research, interview outside counsel, and handle other details in preparation of legal documents.

Ability to manage and coordinate special projects and workplace initiatives.

Oversee and manage litigation, administrative charges and investigations.

Act as strategic business partner for implementation of broad range of employee initiatives, including wage and hour compliance, compensation, reorganizations, reductions in force, employment policy audits and updates, recruiting and application processes.

Develop and conduct employment law compliance training.

Oversight of all company employment law issues.

Member Services

Provide legal advice to Member Services concerning member experience, complaints, revocations, ADA compliance, and club related safety concerns.

Provide legal advice and services to senior management in order to support decision-making and policy development.

Compliance

Assist Human Resources and Member Services with the creation or updating of policies and guidelines as needed.

Conduct ongoing analysis of labor and employment law developments and best practices in order to provide legal advice and counsel to senior leadership regarding compliance priorities to allow the company to achieve business objectives while minimizing legal exposure.

Create and manage the Company's labor and employment law compliance agenda by working in close consultation with human resources and other strategic business partners to ensure that highest-priority initiatives are being completed timely and accurately. The position will both oversee and participate in the review, drafting and revision of Company policies, practices, and standard operating procedures.

Gather evidence and information and supervise high-level investigations for management decision-making.

ORGANIZATION RELATIONSHIPS:

This position may have direct reporting relationships as well as outside vendor management responsibilities. The Senior Corporate Counsel reports to the Senior Vice President, General Counsel and works closely with the legal team, Human Resources and Member Services team, as well as other departments within the Company, outside vendors, and outside attorneys.

REQUIRED QUALIFICATIONS

Knowledge, Skills & Abilities

Broad based knowledge of Federal, State and Local employment laws.

Ability to manage and coordinate special projects and workplace initiatives.

Ability to work independently and with a minimal amount of direction.

Ability to manage outside counsel relationships in a cost-effective manner.

Ability to successfully interact with others in the department, Company, and outside parties in a professional and service-oriented manner.

Strong communication skills and technical ability.

Ability to effectively, efficiently, and professionally manage multiple time-sensitive projects.

Strong attention to detail.

Must be proficient in MS Word, Outlook, PowerPoint, and other computer systems.

Minimum Educational Level/Certifications

Strong academic credentials and law degree from an ABA accredited law school

State Bar member (California Bar preferred)

Minimum Work Experience and Qualifications

7+ years of law experience in a mid to large size law firm or in house corporate legal department with concentrated focus on employment law, litigation, and general advice and counsel.

Diverse and well-rounded employment and labor law experience (including significant advice and preventative counseling background, and compliance and litigation experience).

Physical Demands/ Environmental Conditions

This position is performed in a standard office environment.

Travel Requirement

Travel as needed via car and/or plane up to 5%.

Compensation Summary

Average of 30 hours or more per week: Medical/Dental/Vision Benefits, Paid Time Off, and Sickness Benefits (in addition to the above).

Washington State : Receive 40 hours of sick time on your first day of employment. After 6 months of employment, accrue 1 hour of sick time for every 30 hours worked, up to a maximum of 120 hours, inclusive of time carried over.

Actual offer may vary from posted hiring range based on location, work experience, and/or education.

Salary range will vary based on geography of the applicant. Pay Range for Los Angeles, Orange County and Seattle: $161,460.00-$217,983.00 (Exempt), $77.63-$104.80 (Non-Exempt) Pay Range for Bay Area (California) & New York City (incl. New Jersey): $168,480.00-$227,460.00 (Exempt), $81.00-$109.36 (Non-Exempt) Pay Range for San Diego & Carlsbad (California) and all other locations: $151,632.00-$204,714.00 (Exempt), $72.90-$98.42 (Non-Exempt)
