The Senior Corporate Counsel will be a key member of the senior legal team, reporting directly to the General Counsel, and will serve as a business-oriented legal advisor, counseling on issues of importance to the Company. This person will focus on securities regulation and corporate governance, as well as global M&A and other assigned responsibilities. This person will also be the lead legal advisor to the corporate Finance, Treasury and Tax functions, managing capital markets transactions and assisting with other banking and investment matters. The Senior Corporate Counsel will also regularly interface with the Board of Directors. The Senior Corporate Counsel will ideally bring strong corporate legal expertise as well as experience in the industrial, manufacturing, specialty chemical, or broader related industry. This person is expected to operate with unquestioned integrity and impressive executive presence, as well as strong communication, influencing, and interpersonal skills. They will have significant experience counseling large, complex clients on a wide range of legal and business matters. The Senior Corporate Counsel will be a relationship builder, able to inspire the trust and confidence of senior leaders, peers, and team members. The Senior Corporate Counsel will be based at the Company’s headquarters in Wilmington, Delaware. **Your Key Responsibilities** : + Serve as a key member of the senior legal team, assisting the General Counsel in identifying emerging issues, setting legal strategy, handling key legal projects, and implementing department initiatives. + Serve as the lead business counsel to the global M&A, Finance, Treasury and Tax functions, managing legal aspects of capital markets transactions and assisting with other banking and investment matters. + Ensure compliance with applicable securities regulations; partner with the External Reporting team to prepare SEC filings, and lead the process to prepare the Company’s proxy statement. Own all securities-related policies and procedures. Review 10Qs, 10Ks, earnings materials and other investor presentations; prepare 8Ks, etc. + In partnership with the General Counsel, supervise and manage corporate board functions, including all relevant corporate governance laws, board meetings, committee functions, among others. Support board committees as needed. + Serve as a legal advisor on all key business transactions. Oversee and/or lead the planning, negotiation and implementation of mergers, acquisitions, divestitures, investment transactions, and similar strategic transactions. + Manage and develop the corporate/securities legal team and partner with the General Counsel and other senior Law Department leaders to enhance the Company’s strong, collaborative, and effective global legal function. + Solve legal issues in a pragmatic, hands-on approach as a true business partner, while retaining professional independence to ensure that work is done ethically and compliance with law. Demonstrate a commitment to all DuPont Core Values in all engagements internally and externally. + Manage and build strategic and cost-effective partnerships with outside counsel. **Your Qualification Profile:** 10+ years of legal experience is required + A well-rounded broad legal executive with at least 10+ years of relevant experience providing legal advice and leadership to a complex, global public company(ies), preferably organizations engaged in the industrial, manufacturing, agriculture, specialty chemical, pharmaceutical, or related sectors. Select law firm attorneys may also be considered. Excellent legal skills and judgment, including the ability to interpret, explain and apply laws, regulations, and potential legal and regulatory developments at the highest levels of an organization. Active admission status to a U.S. state bar is required. Securities matters and corporate governance experience + Extensive SEC compliance experience including the preparation and filing of SEC documents and preparation of company proxy statements. Strong understanding of corporate governance and the proven ability to support a board of directors and its committees. Transactional experience + Deep experience leading and negotiating complex transactions including M&A, capital markets transactions, joint ventures, and other strategic transactions. Broader legal experience + In addition to deep subject matter expertise in SEC, governance, and corporate transactions, the successful candidate will ideally have some experience with broader legal matters such as commercial agreements (sales and purchases of goods and services), business counseling and strategy, corporate ethics and compliance, intellectual property, litigation, labor and employment, global trade, and/or environmental affairs. Global experience + Experience with or exposure to legal issues and practices outside the United States is preferred. Leadership experience + Experience managing a team of direct reports with the demonstrated ability to grow and develop strong, business-oriented teams.
