Senior Corporate Counsel and Assistant Corporate Secretary

What you’ll be doing

You will provide U.S. legal support on cross-border and intercompany financings and other transactional work, including strategic corporate transactions. You’ll support the U.S. Corporate Secretary function, including providing guidance on Board and Committee governance, drafting and assisting with the preparation of Board and Committee meeting materials and minutes, managing the U.S. legal entity governance and maintenance function, and drafting corporate organizational and governance documents. You’ll also provide legal support to CIBC’s Global Corporate Secretary function on U.S. governance-related matters.

 

At CIBC we enable the work environment most optimal for you to thrive in your role. You’ll have the flexibility to manage your work activities within a hybrid work arrangement where you’ll spend 2-3 days per week on-site at 120 S. LaSalle, while other days will be remote.

 

How you’ll succeed

Corporate Governance: Assist in the development, implementation, and maintenance of corporate policies and procedures.

Regulatory Compliance: Keep abreast of proposed and existing U.S. legislation and regulations, and corporate governance trends.

Cross-functional Collaboration: Serve as a key partner to multiple functions across the organization on a wide array of general corporate matters.

Transactional Support: Provide U.S. legal support on cross-border and intercompany financings and other transactional work.

Corporate Secretary Support: Support the U.S. Corporate Secretary function, including guidance on Board and Committee governance, and preparation of meeting materials and minutes.


Who you are

Educational Background: You have a JD degree from an ABA-accredited law school and are licensed in good standing in at least one state (Illinois preferred) with a strong academic record.

Experience: You have five (5) to eight (8) years of relevant experience with a reputable law firm and/or in-house legal function. Experience representing financial institutions is desired.

Skills: You possess strong knowledge of and experience with corporate transactions and corporate governance matters. You have highly developed written and oral communication skills, with strong business and legal acumen.

Adaptability: You are a versatile member of the U.S. Legal team, capable of taking on responsibility for new areas as situations arise.

Ethics and Integrity: You demonstrate the highest ethical standards and integrity, and excellent judgment.

Collaboration: You have effective communication skills and the ability to build positive working relationships with a variety of clients and stakeholders.

Time Management: You have strong time management skills and can work independently as well as part of diverse teams.

At CIBC, we offer a competitive total rewards package.  This role has an expected salary range of $170,000 - $190,000 for the Chicago, IL market based on experience, qualifications, and location of the position.  The successful candidate may be eligible to participate in the relevant business unit’s incentive compensation plan, which also may include a discretionary bonus component. CIBC offers a full range of benefits and programs to meet our employee’s needs; including Medical, Dental, Vision, Health Savings Account, Life Insurance, Disability, and Other Insurance Plans, Paid Time Off (including Sick Leave, Parental Leave, and Vacation), Holidays,  and 401(k), in addition to other special perks reserved for our team members. 

 

Candidates hired to work in other locations will be subject to the pay range associated with that location. Additional total compensation and benefits details will be provided during the hiring process.
