Lumentum is a global leader in optical and photonic technology solutions, committed to innovation and excellence. We are seeking a Senior Corporate Paralegal to join our dynamic legal team and support key corporate governance and compliance functions.
Position OverviewAs a Senior Corporate Paralegal, you will play a critical role in supporting corporate legal matters, ensuring compliance across multiple jurisdictions, and managing corporate governance processes. This role requires a highly organized and detail-oriented professional with in-house public company experience and strong business acumen.
Key ResponsibilitiesCorporate Governance & Compliance:Maintain corporate governance records, minute books, and document portals.Manage corporate organizational entity structure, including entity formation, dissolution, and ongoing subsidiary maintenance.Assist with compliance activities such as disclosure committee support and the quarterly disclosure certification process.Oversee the litigation hold process and assist with insider trading program administration.Support the whistleblower hotline and contribute to the planning of the company’s annual stockholders’ meeting and proxy filing.Draft corporate documents, including Board of Director resolutions, stockholder consents, restructurings, business entity qualifications, stock transfers and exchanges, and tax-related filings.Work with U.S. and international legal firms to ensure regulatory compliance across all jurisdictions where Lumentum operates.Intellectual Property & Legal Operations Support (as needed):Manage power of attorney for outside counsel.Maintain the docket management system and oversee patent application prosecution deadlines.Assist with submission of invention disclosures and other intellectual property-related tasks.What We’re Looking ForA team player with strong organizational skills and attention to detail.Sound business judgment and the ability to work autonomously while managing multiple priorities.Excellent analytical, written, and verbal communication skills.A collaborative approach, working effectively with employees at all levels.Flexibility to handle changing priorities and meet deadlines.Qualifications & ExperienceMinimum 10 years of relevant experience in a law firm or in-house legal department.Bachelor’s degree and/or a Paralegal Certificate from an ABA-approved program (preferred, but not required).Strong experience in corporate governance, compliance, and legal documentation.Prior experience supporting a public company’s legal department is highly desirable.Why Join Lumentum?At Lumentum, you’ll be part of a team that values innovation, integrity, and collaboration. Pay Range:
P50-USA-1 :$89,740.00 - $128,200.00Disclaimer:
Final base salary for the successful candidate will depend on multiple factors, including but not limited to, job location, where work will be performed, qualifications, work history and relevant experience.
