Provide paralegal administrative support for the corporate governance and transactional function.
Essential duties and responsibilities include the following. Other duties may be assigned.
+ Manage the logistics of the Company’s board meetings, including drafting agendas, planning locations and events for directors, managing travel, drafting minutes, preparing and circulating materials to directors in advance of meetings, and related responsibilities.
+ Manage the Company’s global subsidiaries, including preparing resolutions, certifications, name changes, powers of attorney, and similar corporate governance documents.
+ Prepare ancillary documents for corporate transactions related to entity formation and reorganization, mergers and acquisitions, and joint ventures and strategic partnerships.
+ Handle compensation and equity grant matters, including payment of the Company’s directors, employees and executive officers.
+ Assist with preparation and organization of SEC filings, including the annual proxy statement, annual reports on Form 10-K and quarterly reports on Form 10-Q.
+ Prepare due diligence request lists and manage the collection of due diligence information and responses.
+ Maintain domestic and international minute books and related corporate governance documents.
**Basic Qualifications**
+ BA/BS college degree.
+ Paralegal Certificate preferred.
+ At least four years of experience as a paralegal, either in a law firm’s corporate practice or in-house at a large publicly-traded company.
+ Notary Public (PA) preferred.
**Preferred Qualifications **
+ Experience working with global companies and international subsidiaries and affiliates.
+ Proficient in Microsoft Word, Outlook and PowerPoint.
+ Experience with BoardVantage, GEMs, or similar tools a plus.
+ Two or more years’ experience working on logistical matters for a public company’s board of directors.
+ Ability to independently multi-task, prioritize, and take ownership of multiple workstreams in a fast-paced environment.
+ Strong oral and written communication skills and attention to detail.
+ Demonstrated track record of driving results through cross-functional collaboration with multiple stakeholders, including those at the executive level.
