Department Overview

 

The Law Department provides timely, efficient and business-focused legal services to the company.  The Strategic Transactions, Commercial Contracts, Competitive Issues and Customer team provides legal support for multiple functional areas and cross-functional teams across a broad spectrum of matters relating to privacy, compliance, transactions, regulatory, corporate real estate, competitive issues and PG&E customers.

 

Position Summary

 

The Senior Counsel (Compliance) attorney will focus primarily on advice and counsel to the Enterprise Risk & Compliance and Finance organizations. The Senior Counsel will be responsible for advising on compliance requirements of federal grants, loans, incentives, the Uniform Guidance and other applicable laws including Davis Bacon Act, the Cargo Preference Act, restrictions on the use of Federal funds for lobbying, and various reporting requirements established by OMB for programs funded by the Inflation Reduction Act of 2022 and the Infrastructure Investment and Jobs Act of 2021.  It will require interactions with and representation of clients in various aspects of the company’s operations, depending on the project or funding source at issue. The role necessarily will include providing advice to business leaders on legal and compliance risks and will include interactions with the officer team and leaders throughout the company.  It will also interact with various external stakeholders including federal, state, and local government agencies, regulators, and other stakeholders (e.g., prime- and sub-recipients of grants, funding coalition members, counterparties in contract negotiations, etc.) 

 

Reporting Relationship

 

This position reports to the Managing Counsel of the Law Department’s Strategic Transactions, Commercial Contracts, Competitive Issues and Customer team.

 

Job Responsibilities

 

Establish and maintain deep, substantive knowledge in multiple areas of the law, including the compliance-related areas set out above. Provide broad strategic and tactical legal advice regarding PG&E’s funding compliance requirements to compliance and project teams, including advice and counsel regarding required reporting and review of standards and procedures. Provide advice and counsel to leadership and project teams on federal funding including eligible project costs under various funding agreements and negotiation of an indirect rate agreement with the federal government. Prepare and review legal documents, including contracts and exhibits, to ensure appropriate flow down requirements are included. Manage and coordinate outside counsel, including outside counsel budget.

Compensation

 

PG&E is providing the salary range that the company in good faith believes it might pay for this position at the time of the job posting. This compensation range is specific to the locality of the job.  The actual salary paid to an individual will be based on multiple factors, including, but not limited to, specific skills, education, licenses or certifications, experience, market value, geographic location, and internal equity.  Although we estimate the successful candidate hired into this role will be placed towards the middle or entry point of the range, the decision will be made on a case-by-case basis related to these factors.​

 

A reasonable salary range is:

 

Bay Area Minimum: $189,000

Bay Area Maximum: $323,000

 

Background Qualifications

 

Minimum

Bachelor’s degree and Juris Doctor degree from an accredited law school Ten (10) years of relevant legal experience post-JD-Juris Doctor, or other job-related experience Experience as Attorney, 7 years Law Bar admission, US US state bar active member in good standing

Licensed to practice law in California or Registered In-House Counsel permit, CA Strong legal research capabilities Experience working with senior leaders Experience in the energy sector Experience advising energy industry clients on compliance requirements related to various types of federal funding, as well as analyzing and drafting related company policies Experience advising energy industry clients on contracting requirements of a federal contractor Competence in drafting and negotiating agreements relating to various types of loans, incentives and/or grant awards Experience conducting due diligence on government contract transactions and resolving government contract intellectual property, cost allowability and business systems disputes Experience developing processes and procedures for federal requirements Experience managing outside and in-house legal resources Project management experience Public speaking and presentation skills Excellent communication skills (verbal and written) Detail-oriented Ability to provide a high level of client service, build consensus, and influence across lines of business Business acumen and excellent business judgment Unquestionable integrity with personal and professional presence Ability to set priorities and to respond to changing demands from multiple internal and external source
