We are seeking a qualified lawyer for the role of Senior Counsel of Compliance for the TR Enterprise Centre GmbH (TREC). This is a diverse and challenging role that offers the opportunity to work with stakeholders across the organization on a wide variety of legal matters.
The position will be based in Zug, Switzerland.
About the role
The Senior Counsel, TREC Compliance, will play a key role in supporting Program objectives and goals for 2025 and beyond. This individual will report to Associate General Counsel, Strategy & General Counsel, TREC and will be a critical member of the team. As Senior Counsel, TREC Compliance you will be responsible for the following:
Provide legal support in areas related to Swiss compliance laws and regulations, including tax, finance, corporate governance, privacy and data protection, and other regulatory laws and guidance that impact the entity.
Work closely with IP counsel on transfers, trademarks, copyrights, litigation, and other matters.
Assist with legal analyses and documentation related to intercompany restructurings, intercompany agreements, IP transfers, foreign registrations, loan repayments, transfer pricing, and corporate housekeeping matters.
Assist with the preparation of TREC board of directors and related committee materials. Draft and revise corporate policies and procedures to ensure legal and regulatory compliance.
Assist with M&A transactions, including acquisitions, divestitures and minority investments.
Help with Legal Department special projects and initiatives; participate in audit and other reporting activities; manage outside counsel involved in certain transactions and projects; other duties as assigned.
About you
You’re a fit for the role of Senior Counsel, TREC Compliance if your background includes:
LL.M. or J.D. in good standing, admitted to a Bar in Switzerland
At least 5 years of legal experience, including practice at a top-tier law firm or as in-house counsel.
Strong knowledge of Swiss corporate laws, rules and regulations
Ability to think strategically and creatively, to identify and resolve legal issues
Excellent communications, project management and organizational skills and attention to detail
Ability to work independently and collaboratively with business and legal personnel at all levels of the organization
Ability to positively influence behaviour of multiple stakeholders, as well as to successfully balance the interests of key stakeholders with maintaining a good legal, fiscal and compliance position for the company
Ability to work across boundaries as part of a global team
Ability to manage multiple projects with competing deadlines and demands
Professional or fluency in the English language; and
Ability to speak and write in German/Swiss German is a plus but not required.
