Senior Counsel

The Counsel/Senior Counsel position will provide legal services to the Company’s Land, Operations and other business units related to mineral development, including assisting in asset acquisitions, divestitures, and exchanges. This position provides day-to-day advice on a broad range of land and operational matters, but will also be expected to competently provide a variety of other general legal advice and services to business units throughout the Company.


 

Job Duties and Responsibilities:

Provide legal services to the Land and Operations groups related to oil and gas leases and mineral development and operations, including royalty matters, joint operations, pipelines, geophysical, commercial, regulatory, compliance, and property rights.Review, prepare and advise business units regarding the purchase, sale, and exchange of upstream and midstream oil and gas assets.Provide legal services to various departments and business units regarding a variety of transactional and commercial matters, including drafting, reviewing, negotiating, and/or approving complex commercial contracts across a full range of land, operations and commercial matters.

Required Qualifications:

J.D. from an accredited law school with strong academic credentialsAdmission to a state bar with ability to practice in-house in the State of TexasMinimum of six (6) years experience as a practicing attorney; prior in-house experience preferredUpstream oil and gas legal experience (preferably 7+ years) in a law firm, governmental agency, or in-houseDemonstrated experience in: handling complex royalty matters, drafting, negotiation, and closing oil and gas acquisition, divestiture, and exchange transactions; providing general legal advice and counsel to oil and gas exploration clients; preparing oil and gas title opinionsHighly organized with the ability to work both independently and as part of a team, and to prioritize among competing projects for the timely delivery of legal servicesAbility to provide legal advice on a vast array of contractual matters relating to oil and gas exploration infrastructure development and operationsExcellent communication (written and verbal) and analytic skills with a strong ability to draft and review complex legal documents and apply legal advice in a timely and practical manner
