OVERVIEW:
Reporting to a senior real estate attorney, this position is intended for an experienced paralegal who will work in a dynamic team environment within the Legal Department, primarily providing paralegal support to the team of real estate attorneys on a variety of real estate, development, construction and facilities matters. This position will interact with cross-functional internal business partners including Real Estate, Development, Construction, Finance, Facilities and C-Suite signatories.
Job Duties & Responsibilities
Document Execution:
Review each new lease, purchase & sale agreement, or similar real estate document prior to execution to ensure accuracy, and consistency of terms with letter of intent/term sheet & executive Real Estate Committee (REC) approval. Partner with in-house and external attorneys to ensure appropriate revisions are made to accommodate review feedback and, where appropriate, assist in negotiation.
Prepare Material Term Summary Memorandum for attorney review.
Work with internal stakeholders to assemble components of document execution package that accompany Material Term Summary Memorandum (e.g., capital budgets, project pro forma, graphic exhibits), obtain applicable internal approvals and deliver execution package to C-Suite signatory.
Coordinate delivery & receipt of executed documents, distribution of notices and filing of documents.
Record documents, if appropriate.
Drafting Amendments, Lease Renewals, Notices, Waivers and Miscellaneous Agreements:
Draft agreements and contracts, including amendments, deeds, license agreements, simple leases, renewals, releases, waivers, assignments, SNDA’s, memoranda of leases and confidentiality agreements for attorney review.
Dashboarding and Portfolio Monitoring:
Partner with Real Estate Management Team to populate Real Estate Dashboard, monitor and periodically audit accuracy of dates and deadlines, and facilitate action to ensure compliance with applicable dates and deadlines.
Review incoming correspondence and notices, such as default, entity or address changes and easements to determine process for notifying appropriate internal departments.
Initiate the waiver review process, intake and review the responses from various departments, prior to preparing a waiver. Communicate any issues discovered to Real Estate and facilitate resolution.
Legal Invoicing and Budgets:
Partner with attorneys and Finance team regarding invoicing, budgeting and forecasting.
Property Due Diligence:
Review, understand and discuss due diligence materials for existing and potential properties (such as title, survey, REA’s, environmental, use restrictions) and draft the exhibit package for applicable real estate documents.
Meeting Attendance:
Attend business meetings as a representative of the Legal Department and exercise judgment to gather information from the business in order to draft legal documents.
QUALIFICATIONS:
Bachelor's Degree
5-7 years of law firm or corporate legal department experience, specific to real estate
Pennsylvania Notary
Paralegal Certification preferred
Legal Tracker or similar matter management software (preferred)
Ability to adapt & work with outside attorneys, landlords, executives, teammates and external partners at all levels
Ability to work under pressure and handle multiple tasks and hard deadlines
