Senior Manager, Procurement - Contracts in MVW Headquarters at Marriott Vacations Worldwide
Job Description

Position Summary  

The Sr. Manager, Contracts Management will play a critical role in managing the contracting process for supplier and partner agreements across multiple business functions, including Procurement, IT Security, HR, Sales and Marketing, Global Privacy Office, Risk & Insurance, Finance, and the Law Department. Reporting to the AVP, Supplier Contracts Management, this position will ensure contracts with suppliers and partners align with company policies, regulatory requirements, and risk mitigation strategies. The ideal candidate will have strong contract negotiation, drafting, and management skills, as well as the ability to collaborate effectively with cross-functional teams in a fast-paced environment. 

 

Expected Contributions  

Contract Lifecycle Management 

Draft, review, negotiate, and finalize a wide range of contracts and related documents, including professional services agreements, statements of work, SaaS and other cloud services contracts, software license agreements, telecommunication product and service agreements, NDAs, data privacy agreements, and service-level agreements. 

Ensure all contracts comply with company policies, legal requirements, and applicable regulations. 

Manage the end-to-end contract lifecycle, from initial request to contract execution, amendments, and renewals. 

  

Collaboration with Stakeholders 

Partner with Procurement to streamline vendor onboarding and ensure alignment with company procurement policies. 

Work with IT Security and Global Privacy Office to incorporate cybersecurity and data protection requirements into contracts. 

Collaborate with the Global Privacy Office to ensure compliance with data privacy laws, such as GDPR and CCPA, in all agreements. 

Liaise with Risk & Insurance and Law Department to address risk mitigation and ensure appropriate insurance coverage, liability, and risk allocation terms in contractual agreements. 

Coordinate with Finance to align payment terms, budgets, and financial commitments with organizational goals. 

Serve as a key interface with the Law Department to review key contract provisions, address complex legal issues, and ensure enforceability of contractual terms. 

  

Risk Management & Compliance 

Identify and mitigate contractual risks, ensuring appropriate indemnities, liabilities, and warranties are included based on company standards and in coordination with the Law Department. 

Maintain foundational understanding of regulatory and compliance requirements, including data privacy, cybersecurity, and insurance obligations. 

Support internal audits related to contracts and implement improvements based on audit findings. 

  

Process Improvement & Reporting 

Develop and implement best practices for contract management processes and workflows. 

Utilize contract management systems to track key dates, obligations, and performance metrics. 

Provide regular reporting on contract status, risks, and performance to senior management. 

  

Candidate Profile  

Education & Experience 

Bachelor’s degree in Business Administration, Law, or a related field (J.D. or advanced degree is a plus). 

5+ years of experience in contract management, legal, procurement, or related roles, including experience with SaaS and other cloud services, enterprise software and other technology procurement. 

Experience using contract lifecycle management platforms, with a strong preference for familiarity with Ironclad 

  

Skills & Knowledge 

Strong foundational understanding of contract law principles, procurement processes, and regulatory requirements impacting technology and related services procurement (e.g., data privacy laws, cybersecurity frameworks). 

Proven experience working with cross-functional teams, including legal, finance, tax, and IT stakeholders in a large corporate environment; experience with international procurement and related tax considerations a plus. 

Skilled at negotiations, drafting, and written and verbal communications. 

Proficiency in contract management software and other productivity tools (e.g., Microsoft Office, SharePoint). 

Ability to manage multiple priorities in a fast-paced environment with attention to detail. 

  

Certifications (Preferred) 

Certified Professional Contracts Manager (CPCM) 

Certified Commercial Contracts Manager (CCCM) 

Certified Information Privacy Professional (CIPP)
