WHO WE ARE LOOKING FOR?

 

We are looking for a self-starter, flexible problem solver and outstanding communicator to join our Corporate Governance team as a Senior Paralegal, Corporate Governance.  You will be a key part of the paralegal team which is responsible for all aspects of NIKE’s global corporate governance function.

WHAT YOU WILL WORK ON

As Senior Paralegal, Corporate Governance – you will:

Support the corporate governance function in all global subsidiary matters, including management of legal entities and assisting with entity formations, dissolutions and internal restructuringsDraft and revise governance documents, including organizational documents, resolutions and other documents required in connection with entity maintenanceMaintain the entity management database Respond to Know Your Customer, due diligence and internal stakeholder requestsSupport various intercompany transactionsAssist in coordination of internal director and officer signatures on various corporate documentsPartner with Legal, Treasury, Finance and Tax teams on governance matters and serve as a resource on corporate and subsidiary mattersEffectively liaise with outside counsel on legal entity mattersSupport the preparation of SEC filings (e.g., 10-Ks, 10-Qs, 8-Ks and proxy statements)Perform administrative support, including coordinating and scheduling meetings, conference calls and other events related to the corporate governance function

WHAT YOU BRING

 

Bachelor’s degree or Paralegal Certificate plus 4 years of relevant paralegal experience, OR an equivalent combination of education, skills and experiences. Corporate paralegal experience, either at a top-tier international law firm or an in-house legal department at a global company preferredExcellent communication, organizational and analytical skillsStrong attention to detailAbility to maintain confidentiality with sensitive issues Ability to effectively manage and prioritize demanding workload and work well under pressure in a fast-paced environmentAbility to work independently with minimal oversight but also collaboratively as part of a team
