Cox Enterprises is currently looking for a Senior Paralegal, Entity Governance and Operations to join our team in Atlanta, Georgia.
The Role:
The Senior Paralegal, Entity Governance and Operations is responsible for maintaining the integrity of Cox Enterprise’s corporate structure, including its U.S. and international subsidiaries. This role provides operational support to ensure the proper structuring of the company’s subsidiaries throughout the corporate lifecycle, documenting all governance associated with these entities (including board and officer appointments and support), jurisdictional compliance, intercompany arrangements, and associated disclosures regarding Cox ownership. In addition to maintaining the corporate organizational structure, the Senior Paralegal works with corporate stakeholders to ensure subsidiaries are in good standing in all jurisdictions associated with the respective business operations. This position reports to the Manager, Entity Governance & Operations.
Responsibilities:
Perform subsidiary governance operations, including coordinating complex projects at the Manager’s direction.
Maintain, update, and organize subsidiary records, including entity formations, foreign qualifications, withdrawals, DBAs, organizational charts, mergers, and intracompany financing transactions.
Work with registered agents to ensure entity compliance, including timely filing of domestic and global annual reports, DBA renewals, large and small scale domestic and global registration projects, and public information reports.
Operate the Diligent Entities database tool for corporate records, entity management, user access, and training.
Integrate new entities upon their acquisition, including the collection and upload of governance documents, state audits, amending and restating governance documents, stock recapitalizations, and updating records.
Support systems and business processes to increase efficiency across complex business environments.
Provide support for subsidiary directors and officers.
Prepare secretary certificates and consents, and research historical entity information for transactions, including sensitive disclosures regarding beneficial ownership and leader PII.
Support Tax department with financial contributions, stock recapitalizations, entity restructurings, annual report filing data, and FEIN number applications.
Support with structuring associated with entities undergoing financing and M&A transactions.
Support best practices initiatives in entity management and subsidiary governance.
Communicate and process entity data with multiple other external and internal sources (e.g., licensing team, treasury, tax, risk management, and accounting).
Prepare unanimous written consents for subsidiary boards and shareholder approvals.
This role requires the ability to complete multiple projects across different stakeholders simultaneously. You will need to provide exceptional customer support to corporate departments and the divisions on all entity management needs.
Qualifications:
Bachelor’s degree and 4 years’ paralegal experience in entity operations; or similar experience supporting corporate functions such as governance support, audit, accounting or tax compliance. The right candidate could also have a different combination, such as a master’s degree and 2 years’ experience; a Ph.D. and up to 1 year of experience; or 8 years’ experience in a related field.
Demonstrated ability to interact and collaborate effectively with all levels of personnel and interpret and communicate complex subject matter in clear and simple terms.
Demonstrated ability to work with minimum supervision and work independently as well as collaboratively towards completion of projects and strong attention to detail.
Experience in developing, standardizing, and managing work processes and protocols.
Strong aptitude to quickly learn new systems.
Preferred Qualifications:
Paralegal Certificate from an ABA accredited program.
Governance background supporting Board of Directors.
Experience working with Diligent Entities and Diligent Boards or similar tools.
