Senior Specialist Contracts
 

In this Role, Your Responsibilities Will Be:

Reviews, drafts and negotiates agreements and transaction documents in compliance with applicable policies and legal and ethical standards, without supervision, including in:  Responding, within established guidelines, to customers’ RFP/RFQs, vendor qualification documents, contractual requests and purchase requirements for our vendors;  Drafting and negotiating with customers and/or vendors, appropriate contractual language to reflect the business interests and policies of the parties; Takes the Contracts Lead role on Complex international and multi-BU project contracts; Complex frame agreements (multi-BU & -WA); Acts as Global, World Area or BU Contracts Lead for Global Strategic Accounts; Interfaces with customers, vendors, members of the legal team and other Emerson stakeholders to bring deals to closure; Analyses business, financial, and legal risks; Researches information on existing agreements and contractual programs, assisting with analysis and compiling data for reports; Provides contract-related guidance to Sales, Project Management, Procurement and other stakeholders; Participates in the approval process to assist business owners in making informed decisions and secure appropriate approvals; Develops and communicates creative solutions and mitigation strategies to key negotiation points;  Assists in the mentoring and training of Contracts Trainees and Contracts Negotiators.   Who You Are: Bachelor’s/College Degree in Legal Management, Business Administration/Management or equivalent plus LLM or Juris Doctor Being a licensed Attorney in the Philippines is not a requirement but preferred   For This Role, You Will Need: More than 5 years’ experience in a contracts-related role Must have extensive experience in Contracts Review and provision of Compliance support Must have experience in contracts review and negotiations for commercial transactions.
  Preferred Qualifications that Set You Apart: 5+ years of work experience in a contracts-related role Bachelor’s Degree in related field Completion of IACCM Advanced Contract and Commercial Management (CCM) Practitioner and IACCM “Oil & Gas Contracting in Practice” strongly preferred Intermediate MS Office skills Excellent oral and written English [and any other language, as required] language skills [insert other languages are an advantage, as required] Excellent negotiation skills Extensive knowledge of Contract law & principles  Commercial provisions such as warranty, liquidated damages/penalties, payment and freight terms, documentary credits and bank guarantees/sureties Our Offer to You: Attendance in internal contracts and compliance trainings done by functional leads either through live sessions or through the Global Learning Centre as well as the IACCM Attendance in relevant external contracts and compliance trainings, as available Attendance in local legal seminars conducted by law firms and other organizations, as available
