The Senior Tax Professional works at the direction of (and reports to) the Chief Tax Officer, with other members of the tax department, and other Bank personnel. This position will perform many of the duties performed by a tax paralegal. The role would assist with a wide range of tax, administrative and legal matters including corporate governance, tax credit deals, vendor management, expense management and documentation. This role will also be involved in managing and monitoring the use of the corporate planes, working on matters concerning special purpose entities including but not limited to, the Real Estate Investment Trust and the Captive Insurance company. The Senior Tax Professional may also participate in additional assignments as needed.Assist in the preparation of corporate records, Board, and committee governance documents.Assist in the preparation of information as it is needed for the Federal Reserve Board.Review and analyze various partnership documentation, update credit calculations and projections, and prepare or review drafts of various entity documentation.Review and analyze organizational documents, search results, and other due diligence items. Assist with Low-Income Housing Tax Credit (LIHTC) transactions, communicating internally with other Bank employees and externally to LIHTC providers on qualifications for transactions and what fits into our portfolio and obtaining data for internal records and filings.Assist in researching potential LIHTC developers to verify whether they meet the Bank’s internally determined qualification standards.Investigate facts and perform tax and legal research.Assists in the management of external partnership relationships, including reviewing documentation, and following up on information requests.Assists in managing law firm, accounting firm, insurance brokerage firm, and other outside professional relationships, including reviewing and revising engagement letters, conflict waivers, and invoices.Assist with project managementAssist with internal data collection with respect bank regulatory matters (e.g., Reg W)Assist in-house tax professionals, in-house attorneys, legal dept. professionals and other Bank employees on projects, as needed.What you'll need:
Paralegal CertificateKnowledge in some or all the following practice areas: corporate, entity, and public company governance, LIHTC documentation, Renewable energy transaction documentation, and transaction preparation preferred.Maintains strict confidentiality of all records and data received and produced.Maintains professionalism in a fast-paced environment and during frequent interactions with commercial lenders, legal team, supervisors, executive management, peers, and co-workers.Excellent written and verbal communication skills.Experience in a Tax setting is preferred but not requiredBenefits you’ll love:
