Position Summary: 

The Senior Counsel’s principal area of focus will be to support the interstate pipeline pipeline assets of the Partnership.  This role will be responsible for contributing to all aspects of the pipelines’ legal requirements, including contracting to provide services, meeting all applicable requirements of federal and state agencies, including primarily, but not limited to, the Federal Energy Regulatory Commission (FERC). This role will assist and report to the Associate General Counsel, who is the lead attorney for all of the foregoing matters. Familiarity with the FERC’s Standards of Conduct, in order to be able to assure that the Partnership’s implementation procedures satisfy such standards, will be essential.

This position requires knowledge within a functional area and is often considered an expert in the area of responsibility. Performs work without appreciable direction and completed work is reviewed from a relatively long-term perspective for desired results. Develops technical solutions to highly complex or interrelated problems. Requires the ability to interpret and adapt theory and concepts into workable solutions. Leads and mentors less experienced professionals. 

Essential Duties & Responsibilities: 

·         Provide legal advice and recommendations for action regarding matters of significant complexity, which have or may have a material dollar impact on business activities and operations.

·         Prepare and/or review correspondence, legal memoranda and contracts.

·         Provide day-to-day counsel and advice to management of the Partnership.

·         Act as supervising authority over outside counsel on projects or specific areas of practice.

·         Support governmental affairs activities by reviewing and/or drafting proposed legislation.

Minimum Education & Experience:

Bachelor’s degree. Juris Doctorate degree from an accredited law school. Minimum six (6) years’ directly related experience as an attorney. Experience working for or representing federally regulated companies in the energy industry preferred. Ability to provide proof of license to practice law and maintain currency of license.

Knowledge, Skills, Abilities: 

Advanced knowledge of Federal and State Regulations involving tariff, certificate, and standards of conduct matters. Ability to complete at least the State Bar’s required minimum hours of accredited continuing legal education (CLE) during each compliance year. Ability to lead and direct the work of others. Ability to provide a source of expertise, training, direction and guidance within a team and across functions. Ability to promote cooperation and commitment within a team to achieve goals and deliverables. Ability to use oral and written communication skills and interpersonal skills to express opinions effectively, convey information in an appropriate manner and communicate clearly, effectively and persuasively. Ability to use software and mainframe systems, including e-mail and word processing. Demonstrate commitment to compliance with applicable laws and regulations, the Partnership’s Ethics and Compliance Code of Conduct and other Partnership policies and procedures. Respect and follow safety policies and regulations; scan the environment for objects or people who may pose a safety risk; encourage others to utilize safe and healthy work practices. 

Physical Requirements: 

Sedentary to light work exerting up to 10 pounds of force occasionally, and/or negligible amount of force frequently to lift, carry, push, pull or otherwise move objects. Ability to view computer screen, sit, stand or walk for extended periods of time. Ability to operate a computer, copy machine, fax machine, calculator, telephone and other miscellaneous office equipment.

Working Conditions: 

Ability to produce quality work in a fast-paced environment with high daily pressure to meet deadlines. Ability to work non-standard work hours as needed or required to meet established deadlines. Ability to work indoors, in an office environment, regardless of whether cubicle, open office or private office. Subject to normal office noise levels. Ability to travel occasionally to work or field locations, and/or to attend meetings or training, including overnight stays.
