The Senior Counsel will join an inclusive, service-oriented, globally dispersed legal and compliance team of approximately twenty attorneys, legal assistants and other professionals, supporting Leica Biosystems-Mammotome’s $1.5+ billion global business. The Senior Counsel also will support matters for other Danaher operating companies in the Diagnostic/IVD and Life Sciences markets. This is a broad and often complex role spanning multiple legal disciplines and operating in a global environment. This role is the lead legal contact for the leaders of its assigned functional areas, while simultaneously working directly with associates at all levels of the business, from individual contributors to senior leadership, in many different functional areas, including: + Business Units (product development, product management, etc.) + Commercial (sales and marketing) + Operations (supply chain, manufacturing, EH&S, real estate, etc.) + Compliance and Enablement (QRA/MAPSS, clinical affairs, etc.) In this role, you will have the opportunity to: + Learn what is required to be a senior leader in a multinational corporate legal organization, by working independently as the lead day-to-day attorney (“mini-GC”) for two or more of the company’s business units and the related support functions, helping to enable the units’ strategy and operations by providing practical, solution-oriented approaches to a broad range of complex legal issues and risks, and then writing and negotiating agreements addressing those issues and risks. + Be a leader, strategic advisor, and person of influence at the company, serving as one of the legal and compliance team’s primary contacts globally; directly partnering and advising leaders of your assigned business units on their most significant strategic and operational challenges. + Serve as a legal subject matter expert and strategic advisor on cross-functional projects with associates from all parts of the business, often operating outside of your comfort zone, helping to organize and lead teams to solve complex business problems and effect strategic transactions. + Partner with specialist attorneys and other professionals, including external counsel, on IP, employment, regulatory, compliance, M&A, joint venture/strategic partnership, and other matters. + Manage commercial and other legal disputes, including litigations. + Using Danaher Business System (DBS) tools, help the legal and compliance team identify, design and implement continuous process improvement initiatives. The essential requirements of the job include: + JD from a top-tier U.S. law school, active bar membership in good standing in at least one U.S. jurisdiction and 6+ years of experience with complex commercial and corporate transactions, including 3+ years’ experience in a large law firm transactional practice. + A precise nature, with excellent attention to detail. + A work history that demonstrates business acumen and a pragmatic approach to legal solutions. + An ability to lead through influence, thought-partnership, and a service-oriented, business-minded approach to the practice of law. + Excellent writing and contract drafting skills. + Excellent organizational skills, with the ability and desire to manage a global client base and calendar and dynamically balance numerous matters simultaneously. + Excellent communication skills, with the ability to communicate and work effectively with associates at all levels of the company. Preferred but not required: + Experience in the Diagnostic / IVD industry. + Experience in the medical device industry. + Experience with healthcare regulation, including: fraud and abuse (e.g., anti-kickback); FDA for medical devices; data use and privacy (e.g., HIPAA, GDPR); and anti-corruption (e.g., FCPA). The salary range OR the hourly range for this role is $160,000-$190,000. This is the range that we in good faith believe is the range of possible compensation for this role at the time of this posting. This range may be modified in the future.
